First time founder raising money (CAN) Posted: 07 Aug 2020 07:44 PM PDT Hey guys, My startup is in Canada and not to add too many details, but we're raising a $3M round right now. We have about 1/6 committed. My partners are sold on working with a broker, who is recommending that we work with a transfer agent to make our investments RRSP and TFSA eligible (tax deferred vehicles in Canada). This broker is saying that he can raise $500k for us, but there's no guarantee. He's also saying most of his clients use a specific transfer agent platform that he recommends. The transfer agent wants $5k just to set up the account and the broker takes a considerable percentage of the funds raised. I'm not in charge of raising money as I am the product owner. It just seems like going with the broker and transfer agent adds an additional step. We have been bootstrapping for over a year and the transfer agent needs so much paperwork that we need to work with our lawyers to put that all together (even though we already paid for subscription documents, officers certificates, and more) so the legal bill is going to be substantial as well. All of this just to work with these two entities ... My question is if this is common for startups? I'm a first time founder so I could use some advice. I see many startups raise multi million rounds but do they need to jump through all these hoops and spend all this money with brokers and transfer agents prior to getting money into our bank account? This is adding like 6 weeks to our timing to this raise and it seems like an unnecessary step... can't we just approach VCs and get money wired to use and knock on doors and start pitching? Should I start an event ticketing company? Posted: 07 Aug 2020 06:01 PM PDT So for about 8 years I worked for a very large ticketing company, without getting too specific, most would view it as the worlds largest ticketing company. Well I no longer work there and am currently unemployed with a decent savings and a lot of time on my hands. I do not have any sort of non-compete holding me back Is going into the world of online ticketing a worthwhile venture? I know the ins and outs of the industry and know where there's market gaps and specific details of what other competitors offer/do not offer. I know building this out on the tech side of things is a gigantic feat and not to be taken lightly. I'm no developer but was a product manager for a few years at this company and have a good idea of what I would need to hire to build this. I also have close relationships with a lot of potential clients and feel confident that when contracts are up I could snag a couple from companies that would be my competitors. I've been studying Hendrix for 8 years and I have a lot of information and techniques to share. At some point I want to make a profit out of this. That said, I want most of my content free. Given our niche, a phone app may not be the best solution. We want to convert it from react native to react web. We had a very bad experience with the freelancer we used to create the app and no longer wish to use them. What would be the best way to go about this? I am new to the app startup. The problem is, my background is in programming, I have no experience with business and honestly never had any interest in it or in founding a startup until I had this idea. Now I have a very strong interest in founding a startup, and I think I will be doing it alone. Can you guys recommend some good resources (books, online courses, podcasts, etc.) that will help me learn some of the business stuff I will need to get this idea off the ground? Posted: 07 Aug 2020 01:24 PM PDT I got invited to apply to one in Europe that would include an investment of venture capital for a minority stake. I've looked at things like Y Combinator before but never applied. We're set to likely cross the $1 million in revenue mark this year despite the COVID drag on the U.S economy. Can these accelerators and influx of capital have a real effect on expanding our business or is it better to keep 100% of our company? Anyone with experience with this? [link] [comments] |
Equity in portfolio companies VS equity in fund company Posted: 07 Aug 2020 05:51 PM PDT I was originally invited to start a fund and be given equity in some form at the fund-company level. The offer has now changed to having no equity, and behave more like a general partner in a fund where we only get paid if a portfolio company is sold off. The arrangement will be contract-based, and pay out only occurs when the company is sold in X-years. Could be 6 years. Nothing has been mentioned about what happens if a co-funder joins the portfolio company at round A / round B (if we even have those rounds). My question is: how can one be a "general partner" if the pay out might only occur upon a liquidity event? Is it true that it does not make sense to actually be given equity at the fund-company level since that holding company will never be sold, it's just the fund vehicle at the top? [link] [comments] |

We're doing weekly all hands calls, and I do daily check in with our top level team members. But honestly everyone hates these meetings (in ways they didn't in the office). How to start writing a business plan Posted: 07 Aug 2020 03:23 PM PDT I've built an MVP for my product that is an e-commerce platfrom (think of Amazon as a distant example) but I have no clue how should I start formalizing it into business plan. I've got couple of a detailed templates to help me out but I am not quite sure from which part to start of. Should I allign operation plan first? Or maybe SWOT analysis or even budgetting? What's the most important lesson you've learned in business? Mine is: Posted: 07 Aug 2020 06:00 AM PDT I never went to business school. My business education was a startup accelerator called Momentum. Patterned after TechStars, Momentum gave entrepreneurs a $20,000 investment and placed them in a 12-week bootcamp, which was intended as a crash course in everything needed to start a tech business and raise venture capital. As a part of that bootcamp, every Thursday night all the entrepreneurs would gather around for a "fireside chat", where we would have the opportunity to listen to a business leader tell their story. Out of 12 of those chats, one moment sticks with me to this day. We'll call the business leader Bob, although that's not his real name. Bob was the type of guy who flies a helicopter to work, and so obviously had a different perspective on life and business than I had. Bob was incredibly successful, but also went out of his way to be accessible in that conversation, which I really appreciated. Someone asked him: "If there was one lesson you'd hope that these entrepreneurs would learn in starting their businesses, what would it be?" Bob thought about it for a moment. He took a beat longer than normal as, we had learned that evening, was his way. "I've worked with companies all over the spectrum," he said at last. "From Fortune 100 companies to pro sports teams to two-person startups. And across all those companies, there's only one thing that all of them have in common. "Nobody knows what the hell they're doing," he said. I am looking for a way for customers to log in to their own account and enter answers into a form we've created. The answers need to be saved and then I want users to be able to export their own data from the form (including the questions). Ideally, users will be able to log into their account at any time to review / update and check their answers. Does anyone have a clue if a SaaS application like this exists? Thanks! While it is a metropolitan city, a lot of the things that would be available in big cities, aren't available here. Having lived in the other cities for most of my college life and coming back home, I really wanna start an artisanal cheese business here. There are hardly any sellers for the vast kinds of artisanal cheeses here. I've been researching extensively, but however I am not sure how the shelf life, the ageing of the different kinds of cheeses work. Heck, I cant even find a good manufacturer here. I have a idé but don't know what to do next. Posted: 07 Aug 2020 05:35 AM PDT I have a idea for a software and I've done a bit of idea verification and it seems to check out. I have a clear image of what the product should be and everything. The problem here is I don't know how to proceed, I've been stuck for a long time and I don't know what to do next. I personally don't know how to code, but I can probably find a friend who can. But should I start with coding right away or try to secure money first? For the idea to work it needs to be dropped with alot of backing. Im really lost right now. Been in contact with a startup center at uni but they are pretty closed down due to Corona and they are mostly geared towards science anyways. I've also been in contact to get government grants, going to have a meeting with a "government grant strategist" next Monday. Posted: 07 Aug 2020 06:52 AM PDT Hi all, in the last few years almost every day we hear that there is a new bank challenger that offer free debit cards and account. I was wondering if anybody know what is the cost of setting up company/startup like that in terms of partnership. I suppose they all enter into partnership with "real" banks or I'm missing something? What are the conditions to work with them? Also, more complicated is to issue Credit Cards - companies such as Jasper - as I can see they issue credit cars thorough Web Bank. For cost (12% corporate tax) and practical reasons (EU, language) I consider setting up a company for it in Ireland. When looking for a virtual office provider the cheapest (with a horrible address) is still x3-4 more expensive than in London.
