    Buying equity after being laid off?

    My wife was laid off. She has worked with the company for 5 years and was able to fully vest about .3% (1/3rd of 1%) of the company as an undiluted % of the total.

    This company is not a unicorn, but has revenue, funding to keep operating for a while and some good wins, but not breakout product market fit.

    We are trying to estimate the tax impact as well as possible outcomes at different levels of success.

    Is there a good guide for what we can legally compel the company to share? I.e. what must they provide? (I'm interested in basic information like the fair market value of the equity, but also more detailed information like financials)

    How is your startup developing hardware during the lockdown?

    Hi all, I'm the cofounder at A space tech company and we're building some novel imaging technology, based in Melbourne, Australia.

    Today the government just announced a second lockdown of the city which basically confines us to our homes and spills water on our plans since we had a build sprint scheduled for next week. I'm pretty lost at this point and am sure things will figure themselves out, but I'd like to know whether there's other hardware startups still building cool stuff during lockdowns/quarantine and whether you guys have formulated frameworks to efficiently execute.

    I am way too comfortable and content with my life which is affecting me

    My desire for entrepreneurship has solely been about making money and now I have realised it's not a good place to start.

    I have spent time trying to find problems to solve but I don't have a strong desire to solve problems.

    I find it difficult to find problems to solve as I am relatively satisfied and very complacent.

    A lot of the entrepreneurs I see in real life, managers and c-level execs have a common dissatisfaction with how things are in life which drives them to work so hard, so many hours and commit to solving problems which in turn sometimes results in a reward and other times not.

    As a 25M, I have been trying to find that emptiness that needs to be filled with a solution but I can't.

    I have lost so many years trying to be different, think differently, and obsess over finding problems but nothing has come.

    I am not from a rich or middle-class family where my life is secure. I am just about getting by living at home, paycheck to paycheck.

    I haven't developed regular employable skills for a regular job in a growing industry aside from getting a marketing degree and working in retail (which I like but make minimum wage) with less than 12 months of experience in PR which I hated.

    My inherent skill is writing but it's underdeveloped.

    I then tried software development but hate that too as much as people rave about the industry growing exponentially.

    My interests are filmmaking, languages (personal), financial education (just like understanding how to be more financially sound).

    What is the alternative to entrepreneurship or how can I look at entrepreneurship differently?

    TLDR: I lack a strong desire to solve problems and feel like I am not cut out to be an entrepreneur.

    "Register misspellings and .net, .org domains or they will be sold back to you for thousands of dollars later". How real is this?

    I was reading a techcrunch article and It says this

    " When you register your name, you should register the misspellings as a .com, you should register the primary and the .net or .org or it will be sold back to you for thousands of dollars later… "

    Is this a legitimate concern? Is it normal?

    NDA for an intro to an attorney?

    Hi gang, really appreciate the great insight posted here. I'm in the early stage of my startup where I've built a high fidelity prototype and am going to start the process of incorporating and filing a few trademarks in the coming weeks.

    Per a recommendation from my incubator's program director, I've set up a meeting with an attorney who specializes in startups. We're set to meet on Wednesday where I planned to walk him through my deck and give him a demo of the prototype. Is an NDA necessary/customary for this kind of meeting? I've read conflicting things online. Any advice is appreciated.

    Want to ask to get acquired

    Hey everyone,

    I started a financial startup 6 months ago. I applied to YC, got the interview, but unfortunately did not pass the interview due to our product vision and roadmap.

    We have since then changed our roadmap and are gearing up to raise our pre-seed (we need pre seed to set up our banking infrastructure) to get a product to market.

    However, a larger player in the financial sector recently announced they would release a product almost identical to what we are doing.

    I was wondering if I could email them for them to potentially acquire us before raising a pre seed? Is this even feasible and would this make sense? If it's anything, I have a wait list of around 300 people, a social media page of 7000+ followers.

    Solo programmer looking for tips on finding co-founders post MVP creation

    I'm a 40 year old, father of 3, software engineer that's had one business idea after another all my life. All my friends know this about me so when I sprung my current project on them, they took it about as seriously as their spam folder. I suppose if I were them, reading what I believed my (then future) software will be able to do, I'd think it was all bullshit too.

    However, fast forward 6 months (and thousands of lines of code) and I've got a working MVP that does exactly what I said it would do. It's ready for technical alpha testers but I have no-one to help me build and run a business around it.

    But sjones204g, why do you need a co-founder?

    • I need help with the non-technical parts of the business such as marketing, product design, etc.
    • I also want someone I can talk with to validate my business plan.
    • I've read that VCs dislike solo-founder startups because "if you can't convince a friend to join, why should we?"

    That sounds fantastic, great reasons all around sjones204g. But why can't you find someone?

    Almost all my friends have middle-school aged children and don't have any flexibility. They can't afford to lose their health insurance and I can't afford to pay them.

    Also, I'm super apprehensive about looking for co-founders in the general populace because I need someone I can "trust with the contents of my wallet."

    tl;dr: I have trouble convincing people making $150k/year to jump ship (without health insurance) and put their entire livelihood on the line. Especially when they're already biased against "yet another sjones204g idea."

    Disgruntled department at startup wants to demand fair compensation from execs, should I rope in direct superior?

    I work at a startup that's entering its 5th year. My department is part of their services department and is one third of a trifecta that make up the customer experience.

    We're paid less than our 2 counterparts and want to demand equal pay. After individually asking quarter after quarter, year after year when raises will come we've finally joined together and realized the pay disparity between the other two roles in services.

    My question is: Do I need to rope in my boss? We all love our boss but know that she doesn't hold the power to secure department wide raises. We need to go straight to the executive team to be heard. We don't want to ambush her with what we're planning or put her in a bad position, but at the same time we don't want to go behind her back.

    How do you recommend this be handled - with or without boss?

    Where to Find Someone to Build My Idea?

    I have always been the "ideas" guy, but I finally have the idea that is viable and want to pursue. I have spent the last 3 months of my free time developing the business model for this app/website. The only thing is, I have no clue how to code or where to start on this.

    I went to business school, and I unfortunately don't have any connections in the software development world. I live in a mid-market city (Indianapolis), but there isn't that big of a tech startup industry here. Any advice on where to go or start looking for this?

    I would be looking for someone to be my co-founder, as they would be responsible for developing the product, while I handle the business aspect. Therefore, I probably won't be interested in a quick freelancer as I'm more looking for a partner.

    Has anyone else ran into this situation before?

    An Advertisement Technique

Since In India rural India schools lags in tech this product will help them to carry on with education. However my product carry some affordable costs but the service is being offered by Google classroom. So is there a way I can pitch my product to clients and they prefer my product over Google classroom.

    Should my electric and internet bills be paid from my business checking account?

    Advice on finding angel investors in the UK?

    Hey, this is one aspect we are struggling with as we feel somewhat ready to pitch (still perfecting it) but we are at a loss as to finding angels specifically in our field. We've looked at directories, messages on LinkedIn etc. We've not gone with the angel investment network as we've heard bad things due to the fee but I'm open to having my mind changed on this, just being careful,

    Startup as a foreigner in Malaysia.

    My Girlfriend is wanting to startup an online jewellery business but she's on a student visa in malaysia(she's Indonesian, i'm british). She's got everything else sorted except the issue of registering the business. So essentially i've got two questions on possible paths she could take to do this.

    For registering in malaysia, does anyone have any information on how to register the business ? I've done some research as well and quite frankly i don't really understand what it's asking for. She has one more year on her visa and personally i advised her to register in indonesia but majority of her clients are in malaysia hence the hesitation. If she registers in indonesia can she still make sales to clients in malaysia without any sort of restrictions?

    For registering in UK. Can she register as a foreigner? or would i have to register on her behalf and if i was able to would she have to pay income tax on that?

    If we were to ignore the issues above, is it absolutely necessary to register the business right now before she can start selling things? Would there be any repercussions or is it illegal to do that?

    Web online phone calls

    I'm looking for some web service that allows me to call phone numbers via API. My client asks from me to implement on his site feature where his employees can click on phone number and it will call that phone number and employees will be able to talk to person who answers the phone. Something like Skype, so employees can talk to that person via laptop.

    Can you recommend something?

    What to ask a busy startup mentor?

    I co-founded a company and now we're 6 people. 5 programmers, 1 manager. Everyone's very talented and culture seems to fit a lot of the time.

    Our goal is to break out of freelancing and into our own product startup.

    So we managed to get into contact with a very respectable and successful startup founder in our region. Their company (as far as I know) is known all over including Silicon Valley.

    Problem is we don't know what to ask the guy. He works with ideas and startups that have already proved their product has traction. We have made a few products with either 0 or like 20 monthly users with not a lot of perspective.

    In his presentation he emphasized that if he talks about a startup he wants to "feel the impact". I can only assume that means that the idea needs to make an impact on the world. Our tiny unscalable ideas are not worthy as far as I can tell.

    So my question is what do we ask him? How do engage? Don't want to waste this opportunity. Ideally we would somehow learn how to find ideas or what would be the appropriate continuation of our one-large-client company wanting to become a startup.

    At the moment it just seems that our only option is to present our ideas and show how worthless they are (he did ask for numbers) and he'll probably answer with something like "uhh, come back later". While what we really need is a conversation and advice.

    Writing this I'm thinking that perhaps all we can do is all we can do and just write the damn email with our ideas and not expect much. Then follow up in a year or something.. I'm writing here in hopes for ideas how to present ourselves or how to best use this opportunity.

    Advice needed on an agency business model

    TLDR; My side business is growing, decided to quit my job, increase expenses by getting an office and new hires, COVID came, all my clients dropped out, and I'm left struggling and jobless.

    I'm currently running a software agency working on web and mobile projects. I have been doing this for the past 2 years, while still maintaining a full-time job as a software engineer. My business was doing good, and at the beginning of this year (2020) I decided to really go full-time into growing the business.

    Here's what prompted me to make the jump to quit my job and go full-time:

    • November 2019: I just signed a contract with a client worth $23k+ for a 4 months project with payments split throughout a duration of 6 months.
    • January 2020: 2 leads to developing a mobile app and a web site, worth almost $14k in total.

    From the looks of things, it looks like I'll have enough cash flow to run the business for 2 years. So I've decided to hire 2 of my friends to join me full-time, and I also just rented an office (I was working out of my own apartment at that time) and really push this business to the next level.

    ...And then COVID happened.

    The client that I signed a contract for $23k+? They only managed to pay us half the total amount due to cash flow concerns. We're now left with an incomplete product and half the payment. The leads that I got to build mobile apps worth $14k? It went to 0 as the clients decided to not invest in anything risky for now.

    And now my estimated 2 years of cashflow just went down to 6 months... and not to mention I also lost my job.

    Since then, I've written and submitted 6 proposals (no replies), and only manage to secure a deal to develop an eCommerce website for a client for free (also include providing digital marketing and launch strategy), and then charge based on a tiny percentage of profit generated from the online store (this could be huge, but it could also go nowhere).

    So here's what I'm learning/doing about this situation:

    1. Tried Google ads, and found out that it's very competitive in this space (software development agency).
    2. Anything can change instantly with no warning. If you're on your way up, a down is coming, and vice versa.
    3. The agency business model is the easiest to be profitable on day 1, but its incredibly difficult to operate in the long run. Finding new clients, dealing with clients, and to always be on that cycle can be tiring.
    4. I've been looking at content creation as a form of marketing, writing Medium articles, creating a blog site, setting up Google My Business, Instagram, etc. Medium is currently bringing decent traffic to my website, but the bounce rate is extremely high. I've used HotJar to track visitors and realize most of them didn't even bother reading the website.

    Here's what I need help with:

    1. I love building products, and I love working out strategies, and recently I'm finding myself doing a lot of proposal writing, and selling. To the other people running an agency based business, how do you balance between the sales and marketing, content creation, and the actual design and development work?
    2. What other strategies should I use to get more clients?
    3. I'm based in Malaysia, and the goal has always been to break through the geographical boundary and be able to work with a global set of clients. I believe we're able to offer a more competitive rate solely based on our lower operating costs. How can I do that?

    The point of this post is not to complain about my situation, but rather to get advice and insights into what could be done better.

    I'm having so much self-doubt right now, and I'm feeling as if quitting my job is a bad idea... Do I just like the idea of being my own boss without having the capability to actually be one? Should I have stayed solo instead of getting an office and new hires? Should I just quit and get back to a normal job?

    Any advice will be well appreciated.

    Advice On Pitching To Investors

    Hello all,

    I have an idea for a new business idea that will be internet based and produce long term profit with little in person input once it is set up and running.

    I would like to get a little advice on pitching this to investors in the future. I have decided it is probably best for me to fork over the money personally to have the website made, get it up and running and then pitch it to investors by showing them the set up and how it will work. This is opposed to pitching the idea to investors and using the money to build the website.

    What sort of things should i have organized to pitch to the a potential investor if there are currently no sales (no need to chime in with "sales first" comments, i will need investors to run advertising campaigns)?

    Table View of a Product List Page

    Hi, does anyone know a good way of displaying products in a table on a website

    Like this:

    Sourcing RC Transmitter/Receiver From Offshore/China

    What I'm looking for is a "simple" rc transmitter and receiver set similar to what you'll find in these cheap little rc cars you get at Walmart or Target; 2 channels, drives two dc motors. Specifically the board with pins for the motor connections and the transmitter with the case, antenna, and room for 2 AA batteries.

    Seems like the companies who make these things probably fabricate them in house, there aren't generally any sku's or other identifiers on the parts. Does anyone have experience with this sort of thing?

    Promissory notes vs. future investors

    I currently own 100% of a C corp that was registered recently. I need to write a promissory note to loan cash to the business for its expenses. In the future, I hope to generate earnings and also seek investors to scale the business. Should the loan be secured or unsecured? Should it be paid on demand or by a specific deadline? I'm asking these because I don't want to raise any red flags with future investors. Or do I have full freedom here as to the way the note is written?

    Registering as a buisness ?

    So I have been selling on Etsy for about a year . I sell artwork And make products with my art. Things are picking up and I feel like it's time to make it a official business but I'm a little overwhelmed with out the buisness aspects because I don't have much experience. I have Quickbooks and have been managing all my expenses. I also know it's going to be me and only me for the buisness and not sure if need to do LLc or what ? I was wondering if I should try figure this out myself and register , or hire a professional to help ? I reached out to one person and they were going to charge me $800 and I wasn't sure if they sounded right ?

    Different monetization method.

    Hello, I am building an MVP which gives the user the possibility to access all the content of my app with one condition, to commit to a schedule.

    When the user downloads the app they will have free coins so they can use to make their schedule. If you complete your schedule without any inconvenience you will earn "10" coins and rewards, but the pickle here is that if you fail one session the total reward is going to be from "10" coins to "9" coins.

    My question is that this way I will motivate the user buy more coins, and access free content, but I am having trouble validating if this is a good idea, I might go with the traditional subscription method, or you guys think its a good idea?
