    Structuring a CEO Pay

    Posted: 07 Feb 2022 03:52 AM PST

I would like to hear how CEO salaries are structured in privately held companies? What is the KPI's set for CEO? Revenu growth? Margins? What else?

I'm a shareholder in a company. The company has been doing really well since its founding (circa 2016)
I had a chat with our current CEO last week. Our current CEO was able to create amazing results for the last fiscal year and I'm looking to design him a new bonus plan. The CEO is also a shareholder in the company.
I'm thinking about basing the bonus around revenue and net margin percentage.

Our business is an online lead generation business where the margins are very high (72% last year on avr.) However, there are some challenges in the coming year in the industry we're in and I believe that these challenges might have a negative impact on the revenues.

Despite these challenges, would it be fair to expect him to grow the revenues?
Should I lower the margin percentage target (say 65%), so he would have more room to invest in the growth?
Is there other targets that are common for this type of plan?
