Sold franchise business with sellers note, buyer not paying and in default of franchise agreement Posted: 05 Aug 2021 06:54 PM PDT Long story short my father was in the process of selling his multi unit franchise, the pandemic hit and the buyers lost funding. The business was sold with seller financing (interest only) and the remainder of the balance would be due in a balloon payment. While the owners have paid their interest only payments on time they have pushed the balloon payment back 4 times. Now the franchise, under their entity is in default of their franchise agreement. They have stated they cannot move forward with financing until the franchise default is cured. They would give no timeline. To make matters worse, my father is 10 percent owner of this entity and has received $0. According to them they are not profitable but not sharing their financials without pestering them. I do not think my fathers lawyer was the best as the promise note has no talk of collateral he could effectively take back should they default. Some of my employees are disrespecting me Posted: 05 Aug 2021 06:00 AM PDT I am a manager at a small start-up, and I manage a team consisting of 8 people. I tend to be warm-ish and welcoming and treat my team members with respect. I'm afraid that some members are taking my relaxed style as an invitation to walk all over me... one recent example was during a meeting, nonetheless. Criticism is well received on my end, but a line was crossed by one of my team members who complained about a project they literally referred to as a "useless waste of time" and that "You [me] should focus on... instead of wasting time". I let that slide during the meeting, as I did not want to create a scene, but I feel that I must handle it before this toxicity penetrates the entire team, bringing down morale and creating a dysfunctional environment. The disrespect here is very subtle, and if he were to use slightly different wording, this would not have been a concern (for instance, "I don't see much value in this project, and I believe we should focus our efforts..." would have been absolutely acceptable). I don't take these things personally, and I'm not an egomaniac, but there is a structure of hierarchy, and if there is no respect toward authority, we can not grow as a company. The above is just a recent example, there were a few other "incidents" orchestrated by the person above and another team member. The amount of sweat, tears and sacrifice that we have to make as we start and run a company. We are also facing mounting challenges when FAANG are increasingly controlling every aspect of our business. Not only are we bound to use their services in building business in today's world, but we also have to follow every rule that they set for all of us. We are at the mercy of all of these giant corporations. In this post, we'll recount our own story of being falsely accused by the other party (and Google) overnight and what had dawned on us after going through this rollercoaster of an experience. Our business and reputation are at stake and the mercy of Google. How We Were Gaining Traction and Lost It All Overnight False allegations are a big problem in our society today, and it's not just celebrities who get attacked. Small and ordinary entrepreneurs like you and me can have their lives upended with a single accusation. That's what happened to our startup - FILT Pod. We provide reach and visibility for small business owners via engagement advertising. So many white-collar small businesses owners rely on us to stand out from the crowd on social media platforms like LinkedIn. Back in May 2021, I noticed a new Chrome extension for LinkedIn users. As I love what they do, I contacted the extension owner and expressed my interest in advertising on their website. While discussing the advertising opportunities during the video meeting, the owner highlighted the downloads and traffic he can bring, so he wanted a 50% cut of the recurring revenue from the monthly subscription. As a small startup, I didn't think it's a realistic expense, nor could we afford it. So I politely declined the counteroffer, and we bid goodbye to each other. I also wrote him a thank you note. I must admit, I was somewhat inspired by the extension. However, I also know how much more we can bring to the extension. Most importantly, how valuable it can be for a broad community of LinkedIn users around the world. With that in mind, we assigned and dedicated two of our software engineers two months to designing and developing a similar extension on the Google Chrome store. It's a free tool for all LinkedIn users to find the best hashtags to use on their postings. All of our team members also spent day and night testing the extension to ensure users' satisfaction. In addition, our marketing team spent countless hours outreaching LinkedIn users to test the extension and gather their feedback. I have never been prouder at this every moment. We come together as a team to brainstorm and improve an excellent tool for a wider community of LinkedIn users. As of late July 2021, our Chrome extension was gaining momentum and has rapidly gained supporters. We had reached a milestone of 380 installations, though it was dwarfed compared to our competitor at 5000 plus installations. We set our goal to achieve 500 installations by the end of Aug 2021, but all of them were lost overnight after Google received a complaint against us. With one single email notification, the giant tech corporation took our extension off the Chrome Web Store BEFORE any investigation into the legitimacy of the complaint. The complainant accused us of copying his code, which is not valid. We have never worked for him, so how is it possible to even know the codes? Google should understand it better, but that's fine. What saddens me the most, though, is shouldn't we at least have the right to defend ourselves before being judged as the guilty party? Instead of being innocent until proven guilty, Google decides that guilty, unless proven innocent, is the preferred approach. And we, the accused party, should shoulder the burden to prove our innocence. The complainant also said he did not authorise us to create a similar extension. However, we all operate in a free market, so why do we need his authorisation to develop a similar extension? Just because he had done it first, no one else should be allowed to create something similar? Should this be the case, we should only have iOS but not Android, or we should only have Google but not Bing. Take a moment and think of that same world we should live in. No consumers and society will benefit from a monopoly. It was devastating, mainly because our team at FILT Pod had been so pumped to share this free tool with all LinkedIn users. We gave our all to create this application. So that entrepreneurs and business owners could use it for free to boost their content visibility on LinkedIn and build their business. We have more plans and ideas in the pipeline to make it even better, but none of these matters now. "Google can reinstate these materials into the Chrome Web Store upon receipt of a counter notification pursuant to sections 512(g)(2) and (3) of the DMCA," is what they assured us in their email. Whilst we have lodged a counter-notification on this subject, we are left in the dark until Google gets back to us. As we are writing this, Google made us aware that the response would take longer than usual because of the pandemic. But how much damage and loss would we incur until then? If you're a large corporation like Google, perhaps you can afford to deal with the loss of business and recoup it. But entrepreneurs like us are in a more challenging and vulnerable position. What We Learned From This Experience After several sleepless nights and countless emergency meetings, we finally overcame our denial. We accepted the cruel fact: There's a system in place, but in the eyes of Google, it's a harsh one towards those accused of copyright infringement. In this era, the accused party shoulders the burden of proof because the presumption of guilt overrules the presumption of innocence. That is to say, you're guilty until proven innocent, not the other way around. We will continue to defend our rights to offer our tools in a free market and Google ecosystem, despite the demoralising experience. We shudder to think what this type of penalising system would evolve into, should everyone who is ever or soon to be accused take their fate lying down. Unfortunately, we believe that day will probably come sooner than expected. We will continue to stand true to our core, giving all the entrepreneurs and small business owners a voice. Because it is not the large corporations who have a deep pocket, but every business owner deserves to have a voice. We do about 50-60k in sales each week. My mom does inventory the old fashioned way. All eyes and hands with paper, with one helper who does the same way. This takes hours and hours away from my mom who could be doing anything else (especially the weekends). Our POS is pretty old, I've tried messing with the system and it seems to have a inventory system but I want to implement something new and modern. Something I would be more familiar with. I'm excited to be able to contribute to the family biz and help my parents retire! I am doing my own research but I'd thought I'd ask around here as well. Thank you all in advance! I have a SaaS side project as well as a PaaS(platform). For my SaaS, it's basically normal web development you'd get from other custom website coders, but what makes it SaaS(or SaaS-like) is that it's subscription based as opposed to most developers that charge thousands upfront. I did this in response to the pandemic knowing very few businesses in my audience could afford the normal pricing model. My question is, is having a subscription based monthly fee over upfront costs an effective enough edge to have to set myself apart? Thanks for any input! I have had so many clients ask me about hashtags and if they are using the correct amount, how do they choose the rights ones, and why are their posts still not being seen? Well, let's talk about it! For this blog post, I am going to use the Wellness industry as my example as that is the niche of most of my clients. What are hashtags? Hashtags are keywords or phrases related to a specific topic or piece of content. These words are used with the pound symbol "#" placed in front of them. Using hashtags tells the specific platform you are using, what your content relates to, making it easier for them to place it in front of an interested audience (well, so we hope). People may search certain hashtags if they are interested in a particular topic or industry and therefore it is a great opportunity to get your products or services in front of the right audience. How Many Hashtags should I use? The amount of hashtags you use varies greatly, depending on which site you are posting on. However, much like everything else in life, quality is much more important than quantity. When using hashtags it is important to focus on two factors. One, the number of people searching or engaging with particular hashtags, and two, the number of other businesses, influencers, etc using that same hashtags for their posts. Getting this balance right is the key to hashtag success. Hashtags are split into different categories depending on their usage. Nano, Micro, Mid, Macro, and Mega. Nano hashtags Nano hashtags have between 1K to 20K posts featuring that same hashtag, this means that competition is low and your post has a higher chance of being seen. However, you don't want to use a hashtag that has no activity so therefore click on the hashtag and see how recently people have been using it for their posts. I would suggest using about 10 of these hashtags on your posts. For example:

Macro Hashtags Macro hashtags have between 500K - 1M posts featuring that same hashtag. I would only recommend using about 5 of these hashtags per post. Branded hashtags I think it is really important to get into the habit of creating new hashtags based on your business. When we post on Social Media, you will always see us use the hashtag #fasxfis. Encourage your customers to use your branded hashtag when posting pictures of your products or services. Using branded hashtags is a great way to keep track of who is interacting with your business too. Always use branded hashtags when doing a competition or a giveaway such as #fasxfisfreewebsite, and encourage people to use that hashtag when entering. Hashtags are definitely trial and error and therefore it is important to have a place where you can keep track of the hashtags that are performing well for your business. This way customers only have to make one account on the app and they are automatically signed up for all the gas stations rewards programs and so they can fill up anywhere and don't have to worry about signing up. We were grateful to get (and get forgiven for) 2 rounds of PPP, and we also got an EIDL loan, without which we would not have survived the year. Loan amount: $100,000 Interest rate 3.75% per year ( so another $312.50 a month) Minimum payment: $488 a month (so you barely are paying more than the interest) If paying only the minimum, it ends up like this: But, by paying $2000 a month instead: I just wanted to share this so that you can see it doesn't pay, to pay the minimum! On 7/14, Governor Newsom signed into law the largest economic recovery package in state history. The additional $1.5 billion expansion, for a total of $4 billion, makes California's small business relief program the largest in the country. The funding will support small businesses and nonprofits that have been highly impacted by COVID-19. They just announced three new rounds (7, 8 and 9). Branded hashtags I think it is really important to get into the habit of creating new hashtags based on your business. When we post on Social Media, you will always see us use the hashtag #fasxfis. So you have taken all of the advice above, put it into action, and still don't know if your chosen hashtags are working. The first thing to do is ensure that all your Social Media profiles are Business Accounts and therefore able to provide you with the best possible insights and analytics. Within these insights, you will be able to see how many people viewed your post through your hashtags. I usually do an audit of our posts every two weeks to see what type of content people are responding best to, but also to see if my hashtags are working. If I find one of our posts got a lot of attention through the hashtags we used, I will take note of them and use some or all of the same hashtags on another post to see how it performs. I've already been dealing with depression and this is the only thing that's kinda helping me but my parents are insisting that it's gonna go nowhere for me and keep trying to butt into my business. I have no problem with them helping me but they're constantly putting me down and taking over in the process. Just a few minutes ago I was talking to a customer and my mom goes "They're just selling keychains, I've always wanted to do what she's doing but I never got the time. I have better ideas than them but I'm just letting her waste her money". That agitated me a lot because whenever I brought up resin crafting she would say it's a waste of money or it's boring, now she claimed it as her own idea??? I've been selling thru cashapp lately and I recently saved my allowance to buy a massive mold and supply box (200$+ worth of stuff). What can I do to get more sales and stop myself from emotionally shutting down?
