    There was a post yesterday in this subreddit that asked if one should create a company to protect them when launching their app. I am, unlike them, based in the US and launching a free app. I am the only one working on this project. I will have no in app purchases (at least at launch) and thus will not be handling any money. I'm not worried about trying to get investors, as this is more of something i am doing as a hobby (however, this does not mean I do not want it to grow). I haven't really put any money into the app so far besides the cost it will take to publish it to the apple app store and for a website domain name. I was also considering trademarking my logo and name, but that's a question for another time. My question for today is am I at any legal risk if I don't create a company (such as an LLC or Incorporation) for this project

    Recommendation on CRM software for growing Startup

    Am the first outside hire for a new tech company, and will be managing existing B2B relationships with distributors and well as prospecting new ones. We have yet to start a proper CRM system and it falls on me to make a recommendation.

    What would you recommend for a company in our position? We need something simple that gets the job done, but can scale as the org grows. Is [Salesflare](https://salesflare.com/ a good solution?

    Mobile app and web app startups, when (if at all) did you register your product as a company. Did you do it before launching or once it gained significant users?

    I am about to launch a mobile app that includes in-app purchases. Since the app involves payment, I am considering forming a legal entity. The obvious downsides are time delay and money it will require (I have $1000 in my account, which I was planning on using on marketing). I do not have any users right now, so should I even bother registering myself as a business entity or should I wait and do it only if I gain, say 5K to 10K users?

    Also, if I should register as a business entity should I do it in my home country or US (the app is targeted towards the US market).

    How do you incorporate customer's psychological needs into the features?

    People want the basic core features, but what may help retain and attract customers seems to be some secondary/social benefit. People go to starbucks to feel like they are special.

    Do you or have you heard of businesses that takes account of aspirations and social desires of users and tailors the unique selling point and product to also fulfill these secondary needs if any?

    Is this touched on in the usage case and customer profile and translated into the product development process?

    How did you learn to start a startup?

    Before I start my startup I want to learn how to actually make a startup. I have downloaded over 700 books, am about to watch Sam Altman's how to start a startup, and I am reading through a bunch of articles. But I still don't know the intricacies of creating a startup, could you give me examples or stories on how YOU learned to create a startup. ( I am about to read the startup owners manual ).

    Please help me understand participating vs non-participating preferred stocks

    Hi, so I'm in the process of launching a startup, and I realize I am lacking in fundamental knowledge about startup financing. I am peddling hard to learn as much as I can, in as short a period of time as I can.

    What is the difference between participating vs non-participating preferred stocks. I get the preferred stocks part. It's the participation that I'm trying to wrap my head around as a concept.

    The best definition I found online goes: Put another way, participating preferred stock entitles the holder to its investment amount back (plus an accrued dividend, if applicable) first AND its pro rata "common upside" in the company, while nonparticipating preferred stock entitles the holder to the GREATER OF its investment amount back (plus an accrued dividend, if applicable) OR its pro rata "common upside" in the company.

    Can someone try to put this into something a little more digestible, and less jargonistic please?

    MOI - What is it? Sent by a potential advisor

    We have a potential advisor who is ready to sign on. He has said that he will send an MOI he has used with previous startups. I know it means memorandum of incorporation, but dont know what that means really. Also how does it relate to other documents we already have like certificate of incorporation, bylaws etc. I thought that we would just sign into a FAST agreement or something but dont know what moi is or why he is sending.

    Demo day, what are some tips to convince VC to invest on your start up?

    We are a senior care platform that will provide medical assistances to customers.

    In the presentation what should I include? and length of presentation?
