I find myself going out of my way so many times just to make my customers happy, at the expense of my own free time and sanity. I've built up quite a reputation for my business for exceptional service but I am not sure if it's worth it anymore. I feel like I've dug myself into this 'good service' hole and I am now unable to make changes. I have probably given more refunds than I should have and have probably went above and beyond for customers that probably don't deserve that treatment. Posted: 27 Nov 2020 09:26 AM PST I am a 1099 Independent Contractor with no formal business structure like an LLC. I received a PPP loan back in May and now I am trying to apply for forgiveness. I was under the assumption that independent contractors wouldn't need to submit verification of payroll because there technically is no payroll. We would just be allowed to submit another copy of our Schedule C. Now my bank is rejecting my application for forgiveness saying I need to show proof I used these funds to pay myself but there is none. Question: is my bank wrong about this or am I screwed? Compensating non-financial partner in a bar/cafe? Posted: 27 Nov 2020 04:06 PM PST I plan to open a small(ish) bar/cafe in Madrid (Spain) at the start of 2021. I have a lot of experience in nightlife promotion and marketing, and am quite confident that my creative ideas will be successful, but I know that I lack some certain skills. Specifically the more technical experience involved in managing a bar, and also that my Spanish is still not at a level to efficiently run a business. For this reason I decided that I really need a partner to fill in these skill gaps. Ideally I would love to have a 30% minority partner who will also work as a manager to the bar but I know this might be hard to find. So I am considering some kind of non contributing partner or alternative arrangement. My idea is to give them something like 20% of the profits of the 6th-12th months on top of their wage as a manager, as a reward for their help starting the business. In my calculations this should likely amount to a pretty fair amount of money for the amount of work involved, but of course also works as an incentive by making them personally invested in the business while also lowering my risk should things not work out the way I plan. The reason it will only start from the 6th is because apart from not expecting much profit in the first 6 months anyway I want that time to be focused more on building the business up rather than making profit as quickly as possible. What do you guys think about this idea? What kind of clauses or adjustments could I make to it? Or what could my alternative options be? Edit: Sorry I think I wasn't quite clear, I am not looking to be a passive investor, I plan to put in as much, if not more work than the other person and also have many skills to contribute. I have also done a 200 hour course in hospitality management and worked as promotions manager for a nightclub among other things so have skills to contribute but while lacking actual bar managing experience I know I will have a better chance to succeed by teaming up with someone who does. I also want to keep the last say on creative concepts and major decisions. The other person would be more of a salaried bar manager, whos opinions would be extremely valuable to me. And also I would need their help in the starting of the business such as choosing the right location, etc. which is the main reason for the cut of first year profits to compensate them for the pre-opening work that is to be done. I bought out my business partner in February and I'm now the sole owner / operator of my company's LLC, which has elected to be taxed as an S Corp. I've been active in this industry since 2012 and the nature of my company is that I build and manage on-site merchandise activations for music festivals and live events. If you've ever purchased a t-shirt at Coachella, Stagecoach, Rolling Loud, Camp Flog Gnaw, or any other large scale music festival in the United States, chances are I was involved. My job entails hiring staff to sell, hiring additional staff to manage the inventory, screen-printing product, overseeing finances, creative consultation, etc. But as it stands, I am currently the only "employee" of my business. Concerts, live events, and the music industry as a whole have been obsolete since March, so I applied for a PPP Loan earlier this year to pay myself, since there is no work and I'm now in the final steps of in terms of loan forgiveness with my bank and the SBA. With COVID-19 apparently getting worse, I don't see music festivals returning anytime soon and I'm now getting nervous since I used up the previous PPP Loan and I'm already getting that forgiven. Short of dissolving my company and getting an actual job where I wasn't working for myself, have there been any indicators that the federal government will pass a 2nd round of stimulus that includes another PPP Loan? After nearly a decade of building up a business and becoming an expert in my field, I'm now at a crossroads where I'm getting nervous and won't be able to hang on much longer. I own an S-Corp, and am currently looking into retirement planning for myself. I have about 8 F/T employees, and several part timers, though I am the sole shareholder in the corporation. I know SEP IRA contributions need to be equal across the board for all employees, but is that ALL employees, or employees with a stake in the company (only me, in this case). We're a small restaurant, so making contributions on behalf of all my employees is cost prohibitive. I'm really looking to invest for my own retirement, but I know as a corporation with employees, I'm not eligible to get contributions from the corporation to a solo 401k, or anything like that. So I guess the real question is, if I open up a SEP IRA, am I able to make contributions for ONLY myself as the sole shareholder in the corporation, or would I have to make the same percentage contribution for ALL eligible employees? I've got a furniture product I want to offer, and I've run the numbers, and the thing that's killing it right now is shipping costs. I can get all the other costs down, but looking at USPS Retail Ground rates, I'm looking at >100$ to ship a mattress-like package to the other side of the country, and ~40$ even if it's just to a neighboring state. My product would be about 40 lbs, flat-packs to fit in a 60" x 8" x 8" box, so about the same size and weight as a twin mattress, rolled up for shipping.
