    If sued, what's to stop LLC from distributing LLC earnings to Member(s)?

    Hypothetically speaking, if a LLC gets sued or anticipates getting sued, what is to stop the LLC Member(s) from distributing the Company earnings out so there is nothing to lose in a lawsuit (besides forcing the LLC into bankruptcy)?

    Sounds like a shady question, but it's been something I was always curious about.

    Struggling and Bankruptcy

    Hello all,

    I run a service business and just reopened thanks to COVID. the past few months i havent been able to pay any rent to my landlord and they're really nearly threatening us to pay them since we owe more than 18K at this point. But business hasnt been the same and i was ineligible for the PPP or EIDL loan due to my status (not a PR or Citizen). PR application is pending actually

    My business is a C-Corp.. if i am to file for bankruptcy, will it affect my personal credit? Do i search for a bankruptcy specialized lawyer? I am not even sure how to even start such a process... I've run my business for 10+ years and never had any issues but this pandemic really has pushed me to my limits.

    Any advice or suggestions are welcome and thank you all so much in advance!

    Working with a startup/small company

    Greetings,

    What I'm looking for: Advice - I'm looking to work with startups/ small companies. How should I proceed with my search? Is my skill set relevant to most startups/ small companies? As business owners, what do you look for in potential employees? Anything that I need to know or watch out for?

    ( I can only work in a remote capacity )

    Why: I prefer working in a startup because of the learning opportunities, closer company culture, room for growth, and especially the practical experience.

    My background:

    I'm a business analyst. I've worked with various clients and dealt with a range of challenges.

    With my skill set, I can prepare competitor analysis, market research, progress reports, performance reports, business reports, and I can also co-ordinate inter-departmental functions, logistics, product sourcing, etc.

    I am also capable of carrying out administrative functions, assistant functions, and maintaining client relationships.

    Organizing and analyzing user data, performance figures, company expenditures, etc is also well within my scope.

    I know that at a startup having more than one skill is paramount. Therefore, I am also ready to learn new skills and adapt to suit the requirements of any role.

    I'm highly motivated and curious as a person and possess sound knowledge about economics and business. Also, I try to keep myself well-informed on a wide range of domains.

    Any suggestions/advice would be much appreciated, as I'm not sure how to proceed.

    How do I define what my service is?

    Hi all! This feels like a ridiculous problem to have, but here I am. Apologies in advance for the long post.

    I have stumbled into a seemingly working business plan simply by helping a couple of friends. I'd like to make it into a small business and offer it as a service - only I don't know what to call my service or if it even is something that can be turned into a business.

    I helped two friends launch their own businesses by filing the incorporation paperwork and continuing to manage the "backend" operations of their companies while they manage the day-to-day. In exchange, they each agreed to give me 10% of their companies and one of them even offered me a Board seat. One of these friends has also since sent me a referral for a new "client."

    My question is: this seems to be working... so can I turn this into a marketable service that I can offer as a small business? What is this even called? I've been wondering about "Startup Business Consultant" or some other type of "consultant." But while I happen to have relevant experience and know how to perform most of the required tasks, I'm not an attorney (where most people go to create a business) and I never completed my degree... Am I even allowed to call myself a consultant or be doing this at all?

    Some additional details:

    • What I Do: Basically a "Jared" (from Silicon Valley). Everything from incorporating the business, registering a bank account, regular maintenance/compliance paperwork, obtaining logos and business cards, business plans, website creation... basically anything/everything that a new business would need. After the initial business is formed, I continue to work as a sort of "advisor" or "manager." Could be finding retail/office space, recruiting, managing basic finances, sales calls, even pitching to investors, the list goes on - these are all jobs that I have real-world experience in.
      • If I myself can't do something that they need, I'll either learn how to do it, or outsource it and the client will reimburse me for those costs. For example, I am not a graphic designer, so I outsourced logo design to a Fiverr artist and my client reimbursed me for that expense. Same with using VistaPrint for the printing of business cards.
    • Where I Am: I am located in Canada. One of my clients is also from Canada and I registered her a federal corporation. My other client is a friend in the United States and I registered them an LLC. I'd like to be able to offer services in both countries as my network is spread across North America, though I understand this may be limited by legality.
    • What I'd Like To Do: Be able to do this full-time as a "consultant" or "advisor" of some sort. Eventually, as my client list grows, perhaps even hire a few staff to assist me with managing my responsibilities to each client.
    • My Experience: I have worked for/with several startups in non-technical positions, from early-stage ideas in a garage all the way to fully funded ventures downtown. I've also previously operated two small businesses by myself that were profitable. Outside of startups and small businesses, I have worked in sales management, business development, project management, and customer support.

    Trying to scale but having problems. Also my biggest client is my less profitable one.

    First, a little backstory. I've been working as a freelancer web developer for 7 years, specializing on layout conversion. In the end of 2008 I saw that I was at a point where the only way to grow would be to scale (I didn't considered rising my prices at the time). So I decided to hire another developer to help me. He started well but after 6 months his performance and quality of work wasn't what I expected and from the financial standpoint it wasn't justified to have him, because his cost was almost what he work was bringing in. So I fired him.

    Then I kept doing all the work by myself but it is more work than one is supposed to handle. I was constantly working 10 hours a day, even on the weekends. So I tried hiring someone again this year, around two months ago. I like his quality of work but I'm a little worried about this commitment, he says he's fully committed but his actions make me doubt it. (For context: he work remotely) For this current task I showed him all the steps that he would have to make and let him tell me how much time he needed. His estimates was similar to what I was expecting so we set up the deadlines based on that. For the client I set the deadlines with extra 2 days. On the first step he did it after his deadline but before the client deadline. Then he had a problem one day and couldn't work, missing the next deadline. He said he would make up for that time this weekend, having the next step done for today. The next step isn't done and looking at the project time logs it doesn't seems that he made up for all the missed time. Tomorrow is the next deadline with the client, I can get it extended for a few more days but it "burns good will" with the client, so I want it to be the last resort.

    All that people management problems let me nervous, I can't relax because my mind keeps worrying about it. And I keep questioning myself if I am manager material. I try to not be a douchbag boss but maybe I'm being too soft. This also makes me question if I can scale my business, because this is my second attempt on it and it is not doing so well.

    Another situation that I'm facing is about my biggest and oldest client. This year I also started accurately tracking the time spent on each project and it confirmed my suspicion that my biggest client is also my less lucrative one. Most of this client work (template for ecommerces) has half the profit of my other clients work (template for business sites). I also do some templates for business sites for him but it's rare. This client is responsible for 40% of my revenue (50% those last months because of COVID). He is still profitable, but it's half below what I have as target. I mentioned for him that I may have to increase rates but he didn't like the idea, saying that it isn't worth more.

    So I know that if I increase the price I'll loose the client. If I do it and he stop working with us then I will have a reduction of workload and won't have enough work to justify an employee. I could also keep the employee and use the time to look for new clients.

    And when I look at those two problems, the people management and this client, and analyze my options I also see that I can give up on scaling in size and become a solopreneur and raise my rates or I could give up being an entepreneur and find a job with an American company (I would earn the same as I do right now but with less stress).

    So, do you have any tips for my situation? Any angle that I may be missing? Any general advice.

    Looking for a cofounder to bring a hardware product to market.

    Hey everyone, I'm currently looking for a managing partner/CoFounder to help me bring a new hardware product to market.

    I was wondering if anyone had any ideas or knew of a place to look/post, below is a quick overview I put together detailing current position and who I'm looking for. Not sure if this will be removed for violating sub rules since its not a direct question per-se. Any feedback on partnership structuring or steps I should take next in my search would be greatly appreciated!

    The product is a higher end hand sanitizer dispenser (please hold your groans until the end). Quick backstory, I have a small design/build and manufacturing company based in Dallas TX. One of my regular clients was having trouble sourcing high end hand sanitizer stations for their stores (luxury brand store). They referred me to a few models they were looking at but apparently are on back order for the remainder of the year minimum and don't quite service the unique needs they have mainly around 'fleet' management so I was contracted to provide a few dozen sanitizer stations for use in several of my client's retail locations. I believe the product is robust enough to stand on it's own and would like to use the revenue from my clients order to stand up a company around it.

    Overview of The Product:

    Main features are:

    • Have a few different variations for different markets (consumer, B2B, and municipalities)
    • Bulk and cartridge refill models based on the same platform
    • WiFi connectivity (connectivity handled via Azure IoT Hub) which allows for refill alerts, battery level monitoring etc.
    • Durable enough for indoor or outdoor use in the elements.
    • Has rechargeable battery for wireless use or can be plugged in
    • Counter-top or wall mountable

    Current Status:

    Hardware:

    • Currently the hardware is in version 1.0
    • Once my client signs off on the first prototype and that order is filled I will be doing some value engineering to get unit costs down for ongoing production and exploring a few design ideas for future models/product changes.
    • I've sourced and procured all the initial components required, will find bulk/long term suppliers once production model is decided on.
    • Since all manufacturing is done in house I can iterate through versions pretty quickly, this means if you have a certain market in mind we can quickly turn around proof of concept prototypes to pitch.
    • Current projected margin on hardware is 50% based on pricing of comparable products on the market and the cost to produce the first few prototypes. Again this will improve quickly with some basic VE and proper sourcing.

    Software:

    • Device firmware is written and sending telemetry data to Azure.
    • Have not built the customer UI yet (stack is .NET Core API with Angular, not set in stone yet).

    Business/General:

    • I have not setup any business entity for this project yet, still need a name, logo etc.
    • Have the outlines for a few different recurring revenue models beyond the hardware sales (refills, monitoring and more) but I'm hoping to find someone with some knowledge in this area to decide together with.
    • Ready to deploy a simple Shopify store once name/logo/branding is decided on and domain name purchased.
    • My client is open to the idea of carrying them in a few national stores to test sales after reviewing final product.

    Who I'm looking for:

    I have the capabilities to handle everything product side, this means hardware development for different markets, manufacturing (in house), packaging and shipping, as well as the UI app and tech management (although any proficiency in these areas would be appreciated).

    What I am looking for is a managing partner to handle branding/marketing, sales, overall company strategy, and day to day operations. I imagine the first undertaking would be to settle on a name, beyond that I will follow your lead and provide you with all the support you need from the product side.

    I'm not much for arbitrary lists of requirements like 'go getter!' and 'product rockstar' so I will just say that I will consider anyone who is interested, ideally that person would have a background or experience in sales (physical or ecommerce) and bringing new products to market. Would be cool if you are located in Dallas/Austin (or within 250 miles) but not a requirement, however you must be US based just for ease of communications and potential visits etc.

    Ideas on Partnership Structuring/Compensation:

    Completely open to any suggestions, this isn't my strong area. General thoughts:

    Equity Split - me: 51% you: 49% 6 month cliff with a 1 year vesting period (applies to both of us)

    I am extremely negotiable on profit sharing depending on how 'hands off' I can be on the sales/business side of things and willing to go as far as 70% you - 30% me if all I have to do is build and ship product while maintaining UI and website.

    Any good dessert business name ideas?

    Hello! I'm currently thinking of names for my dessert/snack (cookies, donuts, loaf cakes, cream puffs, bread) shop that I'll be home-baking and delivered around my area. I'm thinking of setting up online accounts (FB, IG and Twitter) for spreading the business.

    Any ideas? I wanted something witty but I really suck at coming up with names.

    Examples of names that are already existing that I kinda want to have:

    Fresh Doughly, Oh!ven Fresh, Revel up, Only Pans, Better Batter

    Names I've come up with:

    Cravings Club, Happy Tummy, Treat Yourself, Sugar Baby (lol)

    I kinda wanted it to be catchy...what are your thoughts??

    Question about selling art/shirts online

    Hi! I'm a designer and I started doing some art as well. I want to start selling the art with t-shirts (and maybe other things). I don't want to produce the shirts myself, I only make the art. So what is the best option for me?

    1- Find small companies or a partner that can take care of the production and shipping.

    2- Associate to one of those big sites that has tons or artists and the site takes care of everything and the artist gets a small commission?

    What if you created a website like YouTube but partner with other online advertisers and provide a higher percentage of the ad revenue to the creator than YouTube. Next, sign extremely popular content creators such as Logan Paul or David Dobrik (they don't have exclusive deals with YouTube, nor are they paid well by YouTube itself as majority of these famous creators produce risky content with copyrighted music etc) to produce exclusive content for your website in exchange for equity in the company. These people have extremely dedicated fanbases that would convert numbers into the platform. Could this work? Should I put my time into this or is it idealistic?

    Repaying the capital invested

Capital money is borrowed from someone at no interest etc. Should I have like a certain amount deducted every month or annually until I repay the capital? or should I wait until the full amount is available in cash to repay?

    Difficult employee advice

    I have had a family of four working for me in my small business since I opened a decade ago. Two of the family members (let's call them A and B) are totally incapable of being professional. They create strife amongst workers, are rude to customers, are incredibly aggressive towards coworkers and even demanding towards me the owner. The other two C and D are manager quality workers who contribute a lot. The reason I keep A and B around is because they are on time, reliable and honest with their work (they alerted me to several employees who were stealing). I am concerned that if I let go of A & B, then C and D will follow. Recently A has been considering work options elsewhere. I have been flexible with A's schedule (giving time off with less than a days notice) yet A has been making demands of me - complaints about PPE, how the business is run, etc.. I had an unavoidable machine malfunction that resulted in smoke in the building that was immediately aired out. A was not working that day but sent me numerous complaints. B stated that they needed to see a medical professional three days later for assessment of injuries related to smoke. The other employee on the shift the day of the malfunction (C) had no concerns and said that they would cover the shift. What can I do moving forward? I know A and B need to go, but I am concerned about retaliation. On top of this, I am losing money and customers since COVID began and need to reduce labor. What can I do knowing that A and B will create a lot of drama amongst workers and customers if I try to phase them out of hours?

    Tool to see past transactions

    Do you own or know of people that run multiple businesses?

    Is the idea of business to start up with a little bit of cash and then reinvest profits, and find an investors to help scale it. Do this for 1-2 more businesses that are less intensive(car wash). Being profitable enough to hire people to manage the business. Then sell off the ones that are profitable, and cut losses on the ones that are not.

    Is this the mentality of people that look at businesses like investments? What are your thoughts on owning multiple businesses, passive businesses (not putting all eggs in one basket)? Any books you recommend?

    When do companies taking money on your behalf pay you?

    The model I have in mind is for example a company that gets you some traffic / orders and in exchange charges you percentage of transaction. They would take the money from the customer on your behalf and presumably send you your portion. A good example in the UK is Just Eat but for the life of me I can't think of anything like this but international right now. Anyway, the question is how/how frequent do they send the money they owe to the producing company. Is it automatic after each transaction? Is it daily, weekly, monthly? After certain threshold is reached? Upon request? What's the most common approach?

    Not sure what to charge for my services POST COVID-19

    Hi all.

    In December of 2019 I started making websites for small businesses on the side. It's something I really enjoy and there's a lot of businesses out there with a weak online presence that I can drastically improve. I made 11 websites from December to March and made around £7500.

    For those sites I charged between £400-£800. Right now I'm struggling to find businesses that are in a position to pay that amount.

    Would I be stupid to lower prices to let's say.. £200 for a whole website created? I know it's hard for small businesses right now and eventually I'd like to do this full time. I'm not sure if going in at a really low price is silly because of the "bigger guys" that charge thousands for a basic website.

    Third Party Payroll

    Hello All,

    Looking for some advice from those that may have already gone down this road, and sorry if this type of post may have been asked, I've been reading past posts and could not find anything similar.

    So I currently do payroll for a large unionized manufacturing facility, and have done so for the past 7 years. Company currently is enrolling me to get proper certification which is great.

    Looking at possibly starting something on the side, doing payroll for small to medium sized businesses that may be in between being too busy to do it themselves / not big enough to have someone in-house to do it. I understand many bookkeepers offer this service to their clients, but I have been doing my research and in Canada, full-service payroll does seem to cost quite a bit, even from proper CPAs and Accounting Firms. Many charge by the hour, which is somewhere around 150-250. I have found a company that offers payroll software to third party company's, that would allow me to do it much cheaper than they can, so i believe there could be a good business opportunity here.

    The issue I have is where to start. I was thinking of looking at job postings about people needing help with payroll, doing research and offering them my services. With info on the positives of why third party may be more beneficial to them than in-house. Also, approaching bookkeepers if they are looking at outsourcing payroll for the businesses they do bookkeeping for, I would charge them, and they would charge a premium to their clients. But before that, I'm thinking I want to look more legitimate than someone off the street wanting to do payroll for people.

    So thinking proper business email, website, possibly incorporating for liability reasons. But didn't know if I'm missing something else. And if anyone had any other ideas on trying to gain new clients other than cold calling / emails.

    Any advice is appreciated.
