    I received the Closing Docs today and to be honest, this wording is terrifying.

    1. I can't move without approval for 30 years.
    2. The collateral is literally everything I own and/or will own.
    3. I cannot sell any collateral without approval (I'm a photographer, so I can't sell gear for 30 years?).
    4. I must buy American Equipment when possible, again, difficult in the camera world.
    5. I must supply Hazard Insurance for the term (30 years).
    6. I must supply financial statements every year for the term.
    7. I must notify if I change the business name, change to an S-Corp, etc.

    Honestly, I'm considering just going under since it seems if I breathe wrong, I'm in default.

    Is anyone else scared of signing this? I see so many people jumping at the opportunity but I'm worried they don't comprehend the freedoms they're giving up.

    Scam acquisition partner - perplexing situation

    Hi, I have am currently facing an odd situation. I own and run a SME business (turnover under 3mios/annum), which is reasonably healthy. I have just been approached by a company, which is interested to buy this business. My business partner had been looking for an acquirer lately, so it did not come as a surprised someone approached us.

    My issue: the company does not look legit at all (cdnt find incorporationof this company, their point of contact does not seem that legit, no track record anywhere even though I have been told they have already carried out acquisitions in the industry, and they list a questionable character -one of these self proclaimed mega moguls, but hardly verifiable- with experience in a completely different industry as their chairman...).

    Question 1: What type of scams could a company like that try to carry out against my company by pretending to want to purchase us?

    Question 2: even if these guys are complete scammers, would I be able to get out of any complications if I negotiated a cash upfront offer with no future commitment to results? This is a theoretical question, as I do not believe people with murky intentions would agree to such an acquisition structure.

    Honestly a bit perplexed, would love to hear anybody's thoughts on this.

    Remember, this is taking place in a SME framework, so we do not really have the option to spend heaps on advisors etc... Especially when I already have my doubts so as to this company.

    Any critiques of Herbert Simon’s (1945) Administrative behaviour?

    I'm currently doing an assignment regarding Simon's book on Administrative Behaviour (1945). I'm aware of the critiques it faced upon release that Simon has since addressed. What I'm asking for is any current debates or limitations that have been identified by critics. Ideally debates regarding bounded rationality would be most appropriate, however any other debates regarding the book as a whole would still be very helpful.
