Startup I invested in went insolvent and re-opened under the same name 1.5 years later?

    Posted: 29 Apr 2020 07:20 PM PDT

    Hey,

Has anyone ever had a startup corporation with seed investors/friends and family become insolvent, dissolve, resolution signed, and then....re-open 1-1.5 years later under the same name, website, business model, and with the same founders but new ownership and new legal corporation?

Does anyone have any insight or experience with something like this? Or have done this? Or heard of it?

It's happening to me right now - I'm a friends & family investor

[HELP!] How IRS response to Covid-19 fucked my start-up plan

    Posted: 29 Apr 2020 10:42 PM PDT

I've recently submitted papers to incorporate my C-Corp in Delaware for my new business. Now I need to open a bank account to start doing financial transactions, but opening a bank account requires obtaining an EIN from IRS and being a non-U.S. person without a SSN or ITIN, I can only obtain it on the phone, or fax or mail (wtf? are you serious, in 2020?).

Due to Covid-19, IRS shut down all of these services: no fax response, no phone answering, no mail processing and what's worse, without any clear plan regarding reopening dates or how much time it will take them to process backlog of received mails. Moreover, I'm not even confident in sending the mail form anyways, since if they reopen, I wouldn't be able to submit a fax request, as it would generate a duplicate.

Is any of you in the same condition? Any clue of alternative plans to obtain access to corporate banking?

    Build VS Buy?

    Posted: 29 Apr 2020 08:57 AM PDT

    Hey All,

I was reading about this post on Crunchbase and I thought it was pretty interesting. As someone's who's been thinking of starting a company for a while, I've tried a lot of different approaches but nothing has really hit yet (I'm still trying!).

This week I read this story about two guys who were entrepreneurs, but now they buy companies (specifically technology companies?).

They basically found a company that had been operating for a long time with revenue but was not profitable, and they bought it and made it profitable from day 1 (you can read their article here). This seems super cool for someone like me who wants to run a company but doesn't know what to start.

    This has me thinking...

Maybe I should look to buy a company that already has a product and customers?

Here are my questions for the community:

    • Has anyone here considered this?
    • Has anyone tried it before?
    • What has been your experience?
    • What are some things I should consider? Any types of businesses I should think of?
    • What are some good sources of funding? Are SBA loans an option here?

Help wanted: How to get my currently very relevant (free) mobile app under the attention of people?

    Posted: 30 Apr 2020 12:26 AM PDT

I've been working on an idea I got around Easter while watching my kids washing their hands the wrong way (and way too short) before.

After finding the handwash instructions as given by the World Health Organisation(WHO) online, I got an idea to create a mobile app that can be placed near the faucet and lets kids (and adults) watch along with all the handwashing steps that they advise you to do.

Within 27 hours I had created the landing page, the cross-platform mobile app's version 1.0, and set up the developer accounts and submitted it to the stores. (unfortunately, for now, Apple declined it since "I'm a solo developer and It looks to them I'm providing a medical service - huh?).

The Android version is available on the Play Store. My 7yo twin kids use the iOS version and really learned how to desinfect their hands properly. So I know it really has value and adds to the safety of people.

I would love to get this under attention (the app doesn't have ads and is free; don't want to exploit the situation) but I don't know how to reach out to the right parties?

I'm thinking about getting news channels to get the scent of my app (so to speak) or something similar?

What would you ladies and gents advice me to get attention to the solution?

"Have an app idea?" - Be prepared before you take on the challenge

    Posted: 29 Apr 2020 05:18 AM PDT

Most time, when you have an idea, you might straight away go to Google and search "app to idea" or "how much does it cost to make an app?" Most responses to these questions are from development companies who are desperate to get business from you.

There's a possibility that your idea sucks and you should never develop it. I am saying so because I have seen so many individuals spend several thousand dollars on building dumb apps.

Do you understand how hard it is for an app to cram it's way unto someone's home screen — and stay there?

Let's look at a few facts:

    • The average app loses 77% of its DAUs within three days of installation.
    • 51% of smartphone users don't download any apps in a month.
    • People only use an average of nine apps a day.

People do not need more apps on their phone. Okay, your app is all about providing value, but what exactly is it going to do that [insert top app name here] can't?

And if you think you're just competing in an app category/niche, you are sorely mistaken. You're competing for screentime along with Facebook, Instagram, Apple, Netflix, Amazon, and Email.

Resilience. College dropout at home filled with distractions and negativity

    Posted: 29 Apr 2020 01:44 PM PDT

I dropped out of college this past semester to pursue a startup in aerospace. I've been at home and bc of the virus everyones at home. Im in a family of 8.

Anyways I find that every conversation I am having and have had with each person especially my parents and grandparents revolves around me finishing college and becoming a specialized medical doctor. They bring it up in every conversation. 10+ times a day. I stand my ground but they learn and change their approaches in their subtle manipulations. I feel like my insecurities are being used against me. There is no privacy or rest and I am constantly in fight of flight mode. Even in my little corners they find me to have another conversation about this or that medical school or to ask me if I've signed up for the Mcat yet, how most startups fail and that I'm no exception. I'm here building rockets and they see no value. They see a homeless bum. No joke.

Im beginning to wonder if they are right.(this is the key issue. In life I will be faced with naysayers and haters. How do I drown out the noise and more so develop an unwavering confidence in myself?)

Im the outlier in the family dynamic and my survival psychology is begging me to conform.

How do I maintain my composure and focus on my projects? How do I stay resilient without driving myself crazy? Any advice? Thanks!

Ps My family is great we just don't see eye to eye. They say what they say out of love and worry. It's an unfamiliar time in an unfamiliar world and the medical profession provides the most stability(lol damn now I'm quoting them)

Where Can I find A Step by Step Guide for building out messaging and marketing?

    Posted: 29 Apr 2020 08:12 AM PDT

I'm sure something like this exists, I see no reason to reinvent the wheel here. But finding a good one is challenging.

We have a product, we have identified a market. We have potential customers that are waiting for us to deliver them a 'package,' or something that can summarize the benefits the product will give the customers, so they can take that to their bosses and team.

But we don't have absolute clarity on the product itself (its current state, which is totally fine, vs it's future state, which would be optimized for the customer). We don't have a perfect way to convey these things to the customer (that take into account, say, tone, imagery).

How do you market a social platform?

    Posted: 29 Apr 2020 01:29 PM PDT

    Hey,

Been a lurker here for long and guess it's time for a post. I've ran a few startups, some more and some less successful. When our last business got struck hard by the virus, we decided to engage. We assembled a team and started attacking COVID from another angle while everyone else was focusing on how to counter the spread and the physical side. So what we've built instead is a social platform that is totally anonymous that allows people to vent their emotions and find others with similar issues, feelings, thoughts.. whatever. Imagine something between instagram and.. a search enginge for emotions.

Now, none of us has ever had the idea of building a community like this before. We have no experience what so ever and we have no idea of how to market it. We know it will all depend on people actually adopting the concept and then passing it on to others. But the question is how you get the ball rolling with something like this?

Any ideas or thoughts are appreciated!

How to pitch a Saas Idea that would be sold to large corporations (Fortune 5000) without an MVP/Prototype?

    Posted: 29 Apr 2020 06:39 PM PDT

I have a SaaS idea that would be sold to large corporations - Fortune 5000 and larger. Ive validated the idea with hundreds of potential end users via forums, social media, and in person discussions.

What would I need to pitch to them? Does anyone have any experience pitching what is essentially an idea to a F5000?

I have no prototype, online presence, customers, VC funding, etc. Just a landing page and a company email.

The goal of getting the validation is to raise money from VC's and attract a technical co-founder.

Advice on Customer Discovery and Surveys

    Posted: 29 Apr 2020 10:45 AM PDT

I'm in the customer discovery phase and am interested in beginning customer discovery with some surveys from Survey Monkey to gauge interest in my idea as well as guide my future customer discovery conversations.

What advice do you have for where and how to get surveys filled out?

My initial demographic is really any adult as I want to use the surveys to determine what are the demographics of my ideal customer.

Validating a business idea when certain channels may not target the correct audience

    Posted: 29 Apr 2020 02:04 PM PDT

What are some ways you validated your idea when you thought the correct market was difficult to reach?

I've been trying to validate my business idea which is a tool for investors to use to manage their risk more effectively, but I'm having some issues with making sure I'm targeting the right sample of the population.

I thought about making a survey but I can't see my target audience filling out paid surveys for 2 bucks when they would be investing large amounts of money, and trying to get people to fill it out on r/SampleSize or asking mods on subreddits has been a bust.

So what I am doing is trying to SEO optimize my landing page to try and get organic traffic to register their interest on the product release, also try to reach out to bloggers to get some interest going.

On top of this, I have spoken to connections in the industry, and feedback has been good but since I will be releasing a product that has a large and varied user base I would like to get more general feedback from the masses.

Any pointers would be great, even if it doesn't apply to my post it would be cool to hear different ways in validating your assumptions for other users on this sub.

What is typical equity/equity bonus for a founding member of a startup currently in seed round?

How do I enter an already tough/crowded market?

    Posted: 29 Apr 2020 07:39 AM PDT

To give a short back story, for approximately 4 years ago I wanted to improve my skillset within web development, for that reason I chose to create a small CRM system, and release it open-source on Github, it got a little bit of traction and now 4 years later, I've kept continue working on it a bit off and on, and now I have a nice and simple CRM system, I would like to try and get to market. I could keep writing about my CRM system, but let me cut to the case.

I am a developer I don't have any experience starting up something new business-wise and seeing as the CRM market is already very crowded with a lot of nice opportunities, I'm wondering what my approach should be to make a business out of my system, and still providing a good value.

I have been scratching my head for some time and I'm seeing 4-5 approaches I could seek and consider.

    1. Everything is closed-source "behind a payment gateway" and there is a payment pr/user, with a 14-ish day's free trial, the pricing exactly is not that important currently, but the only possible way to get access to the system is by paying.
    2. The same approach as above but with a free version instead of the 14 days trial, there might be some limitations on the free version, for example, you can only have 1-2 users, might not be able to use all functions to their fullest, etc.
    3. I could do something like Wordpress, where there is an open-source version, developers can contribute to, and is free for everyone to set up that might have a little bit of technical knowledge, and then offer a hosted solution on a separate domain for a certain fixed price monthly/annually
    4. It could be 100% free and open-source, and I could try and set-up funding on sites like Github or Patreon, and keep working on it out of the kindness of strangers.
    5. I could sell it on sites like Codecanyon, Themeforest, etc. Again for a fixed price with a possibility of extended support.

I hope someone can share some experiences and expertise that I am lacking. I am also very open to any other suggestions, advice, or whatever you can throw my way.

I appreciate the time you have taken to read this.

How to get in contact with potential clients to pitch my saas business?

    Posted: 29 Apr 2020 03:25 PM PDT

Let's say I have some software that can help miscellaneous companies do something better. How do I actually get in contact with the owners in order to pitch my business? Should I write an email to their customer support, message them on their social media page, go directly to their office/site and hope for the best? What would be the best approach? Thank you.

    Have we gotten bad lawyers?

    Posted: 29 Apr 2020 09:15 AM PDT

My cofounder and I are creating a hedge fund, or maybe I should say we are trying to create a hedge fund. I'm saying this because we still have no legal entities to start doing any sort of business after 2 months. We've been dealing with "smaller" lawyers because we thought they'd give us more "attention" than big shots. We're 2 months in trying to set up legal entities and so far we still have nothing.

    • My co-founder and I are creating a hedge fund, or maybe I should say we are ourselves. The information is not vulgarized at all and it is quite frustrating.
    • Asking for clarification, it sounds as if they are repeating the same thing, without trying to simplify their law jargon.
    • When asking for quotes and step by step plans, the information is scattered all over, and we are the ones who end up trying to put up excel spreadsheets with clear cost breakdown based on the info they've disseminated across our email/phone conversations.
    • It feels like we are getting closer to finally start setting things up, however, a lot of the services we need will have to be delegated to other lawyers or legal representatives in other jurisdictions, which makes me question why this is taking so long.
    • While it feels like we are getting closer, we still have a ton of questions, for which we asked to set up a phone call on Friday. Since we still had no answer on Monday evening, we sent a follow up asking for their availability in the following days. Still no answer to this day.
    • My co-founder and I are creating a hedge fund, or maybe I should say we are right lawyers on our side could make or break our journey.

Given this info, I was wondering if some people here could give us some advice.

First of all, is this interaction normal or are we right to expect "more" than what we are currently getting?

We got these lawyers because they used to be part of a firm my co-founder had interacted with before, and that's about it. I'm a tech guy with no real experience in the legal/business world, so I don't even know where to start looking for other lawyers, and I'd welcome any advice here :).

Payment methods to transfer money from users to businesses

    Posted: 29 Apr 2020 05:04 AM PDT

Hello all, I am working on an app that connects individual users to businesses (restaurants). I am looking for a money transfer system where I need to transfer money from the user to the restaurant. I've looked into Stripe and Paypal and see that they have processing fees on every charge (in addition to the credit card processing fee). Is there any way we can create an online digital wallet and transfer money to businesses directly? or should we go with one of the 'established' payment apps? How do the apps such as GrubHub or uber eats transfer the payment from user to restaurants?
