    Got offered part time CTO role in startup that has not been founded yet. Compensation is equity only at this stage. How much should I be asking?

    Situation seems quite unique, few individuals/venture capitalists want to set up a new company with a lucrative IT solution for aviation industry which they know in and out. Business would rely on hardware which patents would have to be aquired from another company (not sure how much this acquisition will actually cost) and IT solution which would be my job to build...

    I was offered 5% of the company in an email I haven't replied to yet. What's the best way for me to approach this and know what would be a fair share for CTO in this situation? With limited knowledge outside of my domain of expertise it becomes quite difficult to navigate, especially since I don't think I should pass this oportunity since they could straight out hire someone else for cash. I'd appreciate any input of how I should approach this, thanks.

    What are the challenges you face while building ehealth startup, if you do?

    - If you build a hardware, what is the process to get approval? (I have a prototype using Arduino and other hacked medical equipements )

    Would you join a venture without an idea?

    I started a venture in January with a few friends recently and our problem validation failed. Given COVID-19 and the current climate, most of my team has disbanded and the most passionate cofounders are leaving as well. My mentor (2 successful exits) said that recruiting the right cofounder is probably the most important piece when starting a venture. I want to continue as I am extremely new and I want to continue learning about the startup process. I replied that now I don't have an idea, it will be really hard to find someone who's passionate enough to join me. He stated that it's a limiting belief that I can't find someone even if I don't have an idea. Apparently if you're a good recruiter, you can persuade someone to "do something bigger than themselves."

    Background: I am a software engineer with only 4 months of experience in starting this failed venture. I don't have too much value to provide besides passion and work ethic. Am I crazy here in thinking that it would be hard sell to recruit someone?

    What are the key characteristics that describe a "deep tech" startup?

    My colleagues and I have started an innovation project that has begun to raise capital from various stakeholders, but we need more. We have a solution to this, and that is to pitch to an incubator.

    However, this incubator now takes in companies only that can identify themselves as a deep tech startup. If we succeed in convincing the business incubator that we are such a startup, then they have enough financial support that would realize our MVP.

    In our view, we are sitting on a complex and market disruptive solution for local marketing. Our challenge is that we have to convince, so my question here; What are the key characteristics describes a "deep tech" startup?

    Business bank account questions

    I'm going to create a business checking account with Wells Fargo, but there are different "levels" depending on the number of transactions per month.

    Problem is I don't know what counts as a "transaction" for my use. It will be linked to Stripe for users to pay other users in my app. Does each person-to-person transfer count as a transaction? What about if a user if refunded, does that count as two?

    Struggling with idea - Need some direction - Input appreciated

    Dear business experts, mentors, VCs and anyone who has been through the start-up experience,

    I am in the midst of writing my business plan, which seems to be never ending at the moment. I am only at the Market Research section. I have Operations and Financials to work on, regarding which I currently have absolutely no idea. With so many things bouncing around in my head while I write, my mind seems to go on tangents many many times. I find myself looking into topics trying to figure out how to do something, and the business plan takes a back seat during that "research" phase. I have to keep pulling myself together!

    It's taking a toll on me. I keep getting up and moving away from my screen to lie down, do some breathing exercises and come back to resume with a clear head (almost).

    My idea right now is to provide a product online for the automotive industry. I haven't really validated the idea yet! I am thinking that while I complete my business plan, I should get my website and blog up and running so that I can gain some traction during this time. An idea of a service also came up as a future add-on while I'm doing this, but don't know how to handle it yet.

    The thought of "I need to do so many things" with the attempts of trying to do everything myself is throwing me off! Am I rushing? Could you please give me some direction, as to what I should be doing or how I should be doing this or at least thinking about it so that my mind is at ease...

    A good founders mix

    I founded my Marketing Agency a few years ago, by myself.

    Now, I am thinking about a future exit and I would like to find two partners to create a good and attractive trio for future investors and/or buyers.

    My strength is Marketing and Communication. I am thinking about asking my designer to be one of my partners as she is very detail oriented and very good on Art Direction.

    What profile would be a nice addition? A Marketing guy + A Design Gal + ??

    Convertible Note Calculation Question

    Hi there, I'm trying to calculate founder equity based on two convertible notes and I'm getting quite confused. I've found convertible note calculators online, but haven't been able to find one that will convert two notes at different valuations.

    Convertible Note 1

    • Raise Amount: $880,000
    • Valuation Cap: $2,000,000

    Convertible Note 2

    • Raise Amount: $360,000
    • Valuation Cap: $3,000,000

    Priced Round

    • Raise Amount: $1,500,000
    • Valuation: $5,000,000

    Can someone help me figure out the % ownership of the founder after the priced round?

    Hello, I am working as an Intern in a Tech company as database developer. I am interested in programming. Also I am very much interested in knowing about startups and their technologies. My friend is recommeding WIRED magazine for this. But would like to know what sources do you refer or subscribe to get News or updates about upcoming potential Tech startups around the Globe besides Reddit. Like Magazines/websites or anything else.
