    Finding funding to develop product idea when no friends or family have the money to provide

    I've been working on a hardware product idea that I've had for over a year now. Since I'm non-technical, I have been relying on freelancers and was able to get a working proof of concept from one. Now I'm moving on to the MVP. I have bootstrapped it this far and can do continue to do so to develop the business side of things like marketing, but I can't afford to develop an MVP since it will require multiple prototypes, testing, app development and a lot more in order to get it ready for market which will amount to a minimum of $20k.

    I've assessed some options for development :

    1. Find a team consisting of a mechanical, electronic and software engineers to work on the project and grow with the startup post-development (time-consuming, more difficult to find decent engineers but good in the longrun)
    2. Outsource to an engineering firm (Quicker development time and they will handle everything to get the product to market)
    3. Use a platform to find engineers to join my team in the short term in exchange for equity (potentially time-consuming)

    I have plans to crowdfund once I have the MVP done, but I need funding in order to develop the MVP. I've pitched my product to my friends and family and they all love it, however, they don't have the money to give me to help me out. I tried getting a bank loan but they won't give anything out until I show revenue. I've explored grant options but none match my product. I've spoken to a few potential angel investors but they want to see a product before they proceed.

    So, my question is how should I proceed with development and do you have any ideas where I could look for funding?

    Why do so many startups struggle to hit profitability?

    I was just reading an article on the NY Times about how pretty much the culture now is to hit profitability after several tech IPOs have bust.

    I feel like software is so "cheap" to make, yet you can charge quite a bit for it. So why do so many startups struggle to hit profitability?

    Three devs starting a game together, but one of us wants to be the boss.

    Hopfully the the title raises red flags already, because im a little on the fense and the are in need of some advice.

    The background: me and 2 other people (who met over a similar game we play online, we dont know each other massively well) started working on a video game together in our free time a few months ago all with different skill sets and levels of experience, some overlap (we finish/touch up each others work from time to time, it its been working well) we have now reached a point where we all serious about the project enough to talk the potential money/business side of things (and so far, no one has signed anything, this started out as hobby project).

    The guy with the most experience has decided that he wants the entire thing to be under his name, and his name alone, with all the business stuff handled through his own personal business as hes self employeed. His terms are black and white and has refused outright to compromise, no royalties, no shares, no stakes in the company or the IP other than a boiler plate contract of employment. This im sure you can imagine has rubbed the rest of us the wrong way, as we all started this together, ran this as a democracy from the start, we all design, build, program ect, its as much ours as anyone elses. So me and the other guy are a little on the fense, if we go along with it and the game makes money, we'll earn an hourly wage based on what we put in, but it would be a flat rate, it wont scale with its success (or lack of success), we wont be liable for anything but we wont have any legal recourse either if this guy suddenly decides to up and run off with the money or pay himself massively more than the rest of us. So all this said, we could probably just go ahead and build the game without him, it wont be as easy, but at least when we do want to start selling it, we will all have some assurances that the rewards (if any) will be fair.

    Soo... and I crazy or does this entire situation raise some serious red flags? I get the feeling this isnt even remotely normal for small time hobbist projects that gain a little traction, how do other startups do this? Im way out of my depth here.

    TL;DR one person in our team has decided that our hobby project will have to be under his sole control to the point that the rest of us would be his employees without any royalties or IP ownership and is threatening to leave with copies of all of our work to build this by himself.

    EDIT:
    So the situation is over, me and the other guy have split from mr boss man, the other guy has been a bit freakout by all of this business legal stuff, so it looks like hes just calling it quits. We have all agreed that everything we have made together up to this point is all of ours, so if one of us decides to finish this game and sell it, everything should be above board IP speaking (most of the assets are royalty free anyway), at least thats what he says, given the caution displayed by everyones wonderful and supportive feedback i dont know know if i'd be willing to risk that.

    I told him how i feel about all of this, he disagreed and tried to rationalise things in a way i would say was unreasonable, i wont go into any more detail than that as i dont want to make this personal but i will say that this post was linked and i havnt heard a word from him since.

    What year do you apply the ARR multiple to when valuing a SaaS company? The current year or a future year?

    Struggling to determine the best way to value a fast growing SaaS company with low ARE revenues. Should I apply the multiple (I've read it ranges from 4-12x) to the current year ARR or a future year such as year 3 or 5 to obtain a valuation?

    Additionally, are there any core methods of valuation I should look into for SaaS companies with revenue?

    What is the best way to validate a business idea?

    I have a product design in mind but I don't want to start working on it until I understand if it's good for the market.

    Do you know if there are any tools or blueprints I can pay for in order to understand the market needs?

    I'm looking for something that can guide me step by step because there is a ton of information out there and none of it goes in detail on how to actually do it.

    Any tips here?

    Question about vesting shares and 83(b)

    I'm a solo founder. When I incorporated my start up on Clerky, I fully vested all my shares. However, now I'm reading about the importance of filing an 83(b) for tax purporses for unvested shares. I have two questions:

    1. Will I have to pay steep taxes because I didn't give my shares a vesting schedule?
    2. If a future investor insists I give my shares a vesting schedule, will I be able to file an 83(b) then? Or will it be too late?

    Where is the difference between legal and illegal in that situation? Help someone from eventually going to jail. Much appreciated.

    Let's imagine there is a website A where you can download something after you filled out a form. And there is a website B that scraps the public available data form website A. But website B also offers a download button. If clicked, website B will open website A and fill in the form and automatically download the content. Website B might also close website A automatically after thsg so that the user won't notice website A at all.

    Would that be...is that illegal?
