    What is process to incorporate a startup in Canada (through Startup VISA program)?

    Hi,

    Undoubtedly, Canada is one of the best places to start a business.

    I checked online, and there is a process for startup-ers to start a business in Canada. Did anyone you know has successfully went through one of these incubators to immigrate to Canada?. We are seriously considering it right now, but could not find any statistics online.

    I would like to hear from people who went through the same process. Could you please chime in and share your experiences?

    Does this deal tell that my CTO doesn’t give a sh*t?

    3 months ago we decide to start a platform out of my idea. I've been in business for a while, grew other people's startups to Series B and so forth. But I'm going solo now.

    My CTO, who's a friend of mine, wants to join my new startup. However, he doesn't want to leave his freelancing gig as well as his stress free lifestyle.

    So he proposed: we hire a lead developer, he oversees him and I pay for the guy hired (together with all the other expenses, marketing, sales, etc).

    6 months down the line, if the startup gets any traction, CTO joins full time and gets 50% equity if he pays me back half of the money I put in so far.

    I'm the CEO, but since it's a tiny team I do everything from fundraising to washing up dirty coffee cups.

    Part of me says: ok let's do it, as long as we start. He's just a risk adverse person. I really trust him and he's pretty good, although not a baller.

    My other part says: this is a bit unfair and it shows that my CTO doesn't really give a flying f*ck about the startup and probably doesn't even believe in the product. That's why he doesn't want to get his hands dirty and waste as little time as possible. I, myself, left a 6 figure job for this, have to invest $50k or so and he joins if this turns into a ferry tale?

    How do you guys interpret the situation given this little info?

    Do you find the request fair? Perhaps I'm wrong?

    Questions From a Noob

    Hi guys - I've looked up many things about starting your own company and such online. But here's some questions I need people with experience to answer.

    1. How do companies protect their secrets? To be specific, when collaborating with a couple people in the beginning stages of a startup, is there any way to legally ensure that one of your co-founders doesn't leave with all the work? Is the only solution to "find good friends" that you know for sure won't betray you?
    2. I know that when starting a company, many legal issues have to be addressed. I've looked up the legalities regarding company name, having to register with the state, etc. But how would paying your co-founders work? For example, if me and 2 friends made a video game company and released a game. I agreed to pay them 33% of the profits, but how would I formalize this payment? Especially if we are cofounders - so technically I'm not paying them - they have ownership of 33% of the money.
    3. I researched video game copyrights online, and from what I found - all you need to do is publish the game somewhere and no one would be allowed to steal or copy it? So if I publish a game on steam, no other companies would be able to copy it? And to what extent is this copyright - only the assets, source code, names?
    4. Finally I would like to ask how to hold online partners accountable in a startup. For example, if I work together with people over Discord - then wouldn't everything be by word/trust - and no legal action can take place if they steal the source code/sprites/assets for themselves?

    Prep for new startup idea. Outsourcing questions.

    A partner and I are vetting out Full-stack devs to take on our project. I'm an experienced UX/UI designer and will be providing all of the screens to the dev we hire, but we need the dev to bring the functionality to them. The app will be a fairly large SaaS project.

    We have spoken with multiple local and US-based devs and are finding cost to be a concern. We are considering an outsourced (Philippines, Brazil, Mexico, or other) dev, The main concern we have is that once an app is completed, there will be maintenance and feature-expanding needs later on.

    What are some things to be mindful of if we work with an outsourced dev(s) with this in mind? What "soft costs" are going to come with dealing with overseas devs? Are sites like Upwork place to look for full app development or is it mainly for small apps or app fixes?

    From Ideation to Startup [Advice]

    e.g do you talk to X amount of customers or X amount of surveys completed?

    Need advice: What to charge?

    I am a teacher/dev who learned to code to build an app to fix an issue at my school. This issue is not unique to my school/district. We tested it, teachers used. Admin said "let's do this" and make sure I charge enough so I don't put myself in a bind. For this my offer is the district pays full price for 2.5 years up front (.5 is to finish this year). If the App is successful and the business is viable with x amount of clients/districts. Said district would have access to the product for $1 for each campus plus basic cost for the life of the product.

    If anyone has any Ed tech experience and could point me in the right thought process on pricing. I have done research and have a pretty good idea. Just hoping someone will say something to clarify, solidify or inspire thought.

    What are some good examples for startups that received funding without having an MVP?

    It is not always possible to build an MVP before receiving funding, especially if it's a technologically complex product or a platform. I'm not talking about startups (e.g. in the health sector) who start with a high amount of intellectual property, but those who started basically just with the business idea and probably a great team.

    What are examples for startups who convinced investors when they didn't have any prototype or MVP to show?

    Starting a company

    Im starting my own company soon with hopes of turning out something great. It will likely be a 1 man show for the first year or two or so until I figure things out. I'm not leaving my full time job yet and will work on my company in the evening and weekends.

    What general advice would you guys give me? What should I keep an eye on? Would appreciate all inputs.

    What are the implications of a Canadian co-founding a startup and incorporating and conducting business in the States?

    I'm Canadian and about to form a startup with an American co-founder. The business is a B2C app that'll run across North America but primary in the States because that's where the majority of our target demographic is based. Much of my job can be done remotely but I will have to spend some time, especially in the beginning, to meet with investors and various group leaders and influencers for user acquisition. What I'm wondering is how can I run business in the States as a Canadian?

    1. Is there a problem to incorporating in the States by Canadian and American co-founders?
    2. Will there be a problem setting up a company bank account in the States?
    3. How long can I stay in the States to conduct business? And what should I say when crossing the border? (I will not be paying myself for a while, so I won't be making money during my visits.)
    4. What visa options are available in the long term?
    5. We plan to apply to accelerators like Y-Combinator. If we get in, do they provide a visa that'll allow me to go through the program and conduct business afterwards? Like how after graduating you get a visa that'll allows you to work in the States for a certain number of years?
    6. If we set up an office in the States, how can I work there long-term?
    7. If we get funding from an investor, does that somehow make me or my company eligible to keep working in the States?
    8. And if there's anything else I should consider or know in my situation?

    Where did you go to find the right people to fill the roles you needed for yr start up ? Or where did your start up find you?

    There isn't exactly a directory of people that is around where you can just meet the right people. Where are some of the places you've tried and had success with when it comes to finding the right person for you? The hardiest of theses roles being right fit for a co founder.

    Securing funding for ideas that require enormous capital to create MVP

    Let's say I have an idea for customised enterprise-level solutions that could potentially solve a billion-dollar problem in a largely untapped market. However, turning the idea into an MVP would involve millions of dollars in seed capital that I do not have access to. In such a case, how would one go about getting the idea off the ground to turn it into a product that is marketable to investors?

    First timer. With A good start up Idea

    Hey guys, im new to this subreddit. I have a few questions I hope you all dont mind answering. I have no skills, such as coding where one can build their own application for a start up. I do have an idea and I am 100% it will work, because Ideas like trivago, zomato, and etc. have worked. This idea will work, but I dont have any skills. I am trying to get accelerators or incubators. I got interested in entrepreneurship recently actually, never was interested in the whole idea of business, until my life took a side turn. Was always think job would be satisfaction, but when employees can be let off after 20 years of service. I dont think I would want that. Plus i dont want to worry about money. Money is something you can love and hate. Anyways, what should I do? Like How can i start building this idea. How can I build a prototype? I need a business plan but I dont know how to make one. Tried to learn how to make one from youtube but dont think i understand anything. One last question, how does everyone come up with ideas? Like i get it look for solutions to problems or find inconsistencies in existing ones. The thing is if its a business you do not know anything about how can you solve it? You get what i mean? I might sound really dumb. If anyone can help me understand this stuff. Please i would really appreciate it. And for the idea. I know it will work because its already there but I have a better and more innovative version of it.

    Corporation Fees

    I'm planning on starting a Delaware C-Corp in NC and figured out I can do it for a surprisingly low cost (under $200 for filing and I can get an EIN for $0). However, what recurring fees should I know about? Also, do you have to file taxes if you do $0 in revenue for your first year?

    Overcoming market ignorance

    How do you market your b2c startup?

    I have a bootstrapped startup in the privacy and security space, showing people where their data is around the world and if they've ever been hacked. it has received early stage investment and is now being funded by my day to day business instead.

    I have turned down a couple of early stage investment opportunities around the 250k mark due to personal reasons and have continued to bootstrap.

    Long story short - product launched, its a b2c app (only web not yet mobile due to costs), has around 150 users and a few paying users (freemium model) - I want to speed up growth through marketing

    Since it's launch a couple of months ago it's making slow but steady growth, the marketing I'm doing;

    Instagram page (most traffic comes through this organic route) Facebook ads (not a great deal of success and limited funds) Blog (a consistent 10 percent of traffic)

    What other marketing routes have you taken for a b2c startup?

    I have a lot of industry connections in large organisations and considering a pivot to be more b2b2c for growth if I can't speed things up as is.

    Starting a Startup with South American Partners

    Long story short, I'm US based and currently in the works of starting a tech company (Outsourcing & staff augmentation) with a couple of partners from Argentina. What do I need to know before I dive in deep in terms of taxes, laws, etc. on my end? We won't be hiring anyone from the US initially, as the technical talent will be based directly from South America. However, we do plan to sell our services to the American market. I want to make sure my ground is covered right of the bat to prevent any kind of international litigious/tax trouble from my side. Any guidance is greatly appreciated!

    I just buy my first domain name. I want your opinion on this situation. Let me explain:

    There is a famous website "xzy.com" xzy=random variables (I don't wanna mention the website)

    The name that I choose for my website is very similar with this existing website like "xzu" (not only they are too similar but also the one letter that separates them is next to each other in the keyboard, like "y" and "u".

    I couldn't buy the "xzu.com" for my website. I imagine the famous website also have this domain for obvious reason... google searches.

    So I got a different tdl. It's not so famous tdl but i kinda like it. It somehow represents a value of my website.

    Finally the situation is that there are 2 websites. 1) xzy.com (famous website)
    2)xzu.### (my website)

    My questions are: 1) will I have any kind of problem if my website gain popularity over the years? I mean, legal, copyright,... 2) how I can manage my domain to displayed like second on google when you search for the famous website? Does this have to do with popularity?
    Right now if I google my domain, the results are for the famous website, because I guess google thinks you somehow miss typed it. 3) do you think it's a good choice of domain regarding this situation? In one registar they point out the similarity as a con. So do you find it a con or a pro?

    I can understand the con but I'm thinking if I somehow manage the to gain a lot of popularity it's gonna be a pro.

    PS: I only have the domain name till now, no website

    PS2: The 2 websites are in different fields
