    Hi! I am curious, in tv shows you always see people getting voted out of there own companies by board members but why do people let others into there companies if there is a risk of getting pushed out? can't you just keep all 100% of the shares or can people freely buy as much shares as they want without asking?

    It just never makes sense too me xD if I owned a company I would never give it up or want there to be a risk of it

    also what does "buy out" mean? I have heard that term in tv shows too

    I'm a Music Producer and after investing a couple of thousand into it, I'm trying to learn the necessities and details of the tax deductions side of filing taxes. So the first question I have is that do you need a Tax ID number before filling? I haven't officially registered my business yet, and I'm looking to do that soon.

    Also, my second question is how far back can I go to get deductions for my investments? I'd probably go as far as late 2018 if possible.

    There is a great chance that I might aquire a 100lb sale of my agricultural product from the Caribbean island to Maryland, US. This is my first time doing this and I'm curious as too which company(Amerijet, UPS,etc) might provide the best rates and should I do FOB or CIF. Any advice would be appreciated.

    Self-Directed IRA and LLC Franchise Fees

    I'm looking into the possibility of using a Checkbook IRA, which entails the use of an LLC that is wholly owned by the IRA.

    However, I live in California, a state that appears to hate business. The annual franchise fee is a whopping $800. Considering that IRA contributions are capped at $6000 that means that over 1/8 of my max annual contribution will be eaten by franchise fees. At that point I may as well just hold the assets in a taxable account.

    I am aware that other states have much lower LLC franchise fees. However, my understanding is that because I live in California, anything I do in an out-of-state LLC would require me to pay the franchise tax in both the other state, as well as California, so organizing an LLC out of state isn't a solution to this problem. Is there any way I could organize an LLC out of state for a Self-Directed IRA without paying the $800 franchise fee, or is it obligatory in 100% of cases?

    Another option I'm looking at is the Solo 401k, which wouldn't require an LLC. However, one thing I am unsure of is if only income from self-employment can be contributed to a Solo 401k, or if I could contribute money from an employer as well as long as I maintain minimal self employment on the side. Another drawback to the Solo 401k is that it cannot accept rollovers from a Roth IRA; all of my assets are currently in a Roth IRA (Schwab is my custodian) and I need access to the capital in the IRA in order to make the investment I would like to make. Is there any way to work around this, and roll over my Roth IRA to a Roth Solo 401k, or am I out of luck on this front?

    I wish California didn't insist upon taxing business to death; I would have organised an LLC years ago but when you're earning a dollar above minimum wage that $800 fee REALLY hurts. Really hard to get the ball rolling if your savings are less than $10k. Almost makes me want to maintain an address in Nevada 6 months and 1 day out of the year.
