    Where or how do you search for inspiration/ideas for your startup?

    As enterpreneurs, I think we must be visionaries, we need to see the sort of future, where we think the world is headed, and we see the sort of ideas for products that will find the market in that future.

    We start building the future product now, so that by the time people are ready for it, it will be ready for people.

    How do you look for such ideas? They are so not obvious.

    How to approach potential co-founders from "shadow mode"?

    Hey Reddit,

    So I've been building this mobile app MVP for about a year, and what started as a hobby turned out as something I am planning on launching within the next few months. This has been time fully devoted to product development, so no online presence whatsoever.

    I am now planning to approach this potential co-founder who can help me handle the business side of things, but I want to do this right:

    • Should I build some sort of online presence before approaching this person (LinkedIn, website, etc.)?
    • Should I set up a company in my country before hand?
    • What is the right approach to give myself leverage when coming out in cold? Show a sneak peek of the MVP?

    As you can see, I want to make the approach such that I have leverage but I protect my product at the same time. This person and I have a very similar business in mind so it could be a win-win situation.

    What rights do I have a stockholder of a startup?

    I used to work for a startup, (they are registered in Delaware) and before leaving the company I purchased my vested stock. It has been a few years and I haven't heard much about the company. Today I got a letter from them to sign a document titled "Notice of Ratification of Defective Corporate Acts".

    I have two questions:

    1) As a stock holder of a private company what information am I legally allowed to know about?

    2) This is what they want to amend, seems super sketchy: (I don't have the original document, just that this wants to be amended in it)

    "purchase or redeem (or permit any subsidiary to purchase or redeem) or pay or declare any dividend or make any distribution on, any shares of capital stock of the Corporation other than (i) redemptions of or dividends or distributions on the Series Seed Preferred Stock as expressly authorized herein, (ii) dividends or other distributions payable on the Common Stock solely in the form of additional shares of Common Stock, (iii) repurchases of stock from former employees, officers, directors, consultants or other persons who performed services for the Corporation or any subsidiary in connection with the cessation of such employment or service at the lower of the original purchase price or the then-current fair market value thereof, and (iv) as approved by the Board of Directors, provided, however that the payment of dividends or making of distributions on any shares of Common Stock prior to the Preferred Stock of the Corporation pursuant to this Section 3.3,4 shall not require approval from the holders of at least a majority of the then outstanding shares of Series Seed Preferred Stock, given in writing or by vote at a meeting, consenting or voting (as the case may be) separately as a class;"

    I've a "pitch" tomorrow with an possible supporter

    We've lunch tomorrow with an supporter (not investor). He's gonna help us with connections and the business strategy. Because he already helped a lot of uprising businesses, we hope he can help us too.

    The only problem is, what should we ask him? I've a few questions in mind but I'm not sure if everything's covered. What are the most important questions to ask?

    How do you choose board seats?

    How are board seats allotted? I know when you get to larger scale such as investments from VCs and they'll usually ask for a seat but how are the other seats given especially at the early stage? Are you finding advisers/mentors and then offering a seat? What kind of compensation is offered? Are there term limits or do you just ask a board member who was there for the early stage to step down when you're ready to go to the next level?
