How do founders contribute cash to the startup?

    Hi everyone,

My friends and I are about to start a company together, but we're not sure how we should contribute cash to the startup after incorporation (Delaware). The number of authorized shares would be 10 million, and we plan for each of the 3 founders to contribute $4,000 ($2,000 initially. If the company has enough cash flow to sustain itself up until the first financing round, we will cancel the other $2,000). We're not sure how we should execute this plan. I've read some advice online, and people seem to split between buying the shares directly vs assigning the shares and then making loans to the company. What method do you guys think is most suitable for our two-round founder financing? What methods did you guys use? and why?

If it's through loans, how should be the term of the loans? (I'm thinking no specified maturity date and extremely low interest rate?)

If it's through share purchase, how many shares would you issue in this case for 3 founders, out of the 10 million authorized shares?

I know this is a matter we should consult with a startup lawyer. I'm asking here just to garner some first-hand perspectives from fellow entrepreneurs and see how the status quo looks like. Thanks a lot!

When is the right time to set up a company?

    Posted: 03 Nov 2021 01:40 AM PDT

Me and my sister are working together on a game. It's going well and we have a prototype but we'd need at least 12 more months as per my predictions to polish it up. I've been reluctant to set up a company until we're done because once I set it up, I should put at least one person on a payroll and that feels entirely unnecessary. Would I pay myself because I have to and subsequently reinvest the same amount? Aside from our own work, we have barely had any costs as we did almost everything ourselves (we can both make art and write code so we're fairly self sufficient) and the few things that I have bought were well under 1k EUR total so far, from the unity asset store.

Any developers here have experience of paying a freelancer to help with your idea?

I've been building a product slowly in my free time but due to work and work related stress lately, I've not been progressing as quick as I'd like.

I'm looking at finding a developer to work on my app for a day a week or so but I have concerns about hiring anyone who could potentially grab my codebase and beat me to it - especially if they live in another country.

What are your experiences with the above and is the latter a legit concern?

Tips and Advice on Finding Product Testers and Promoters For Vice (Adult Product) Startups?

    Posted: 02 Nov 2021 10:40 AM PDT

Hello this is my first post here! I'm working on creating a sexual wellness startup and I'm having a bit of trouble with gaining pre-launch attention. Given that a lot of social media platforms flag my content as being explicit (when in fact, it's not), it's made it difficult for me to find people who are interested in my product and promoting it. Are there any ways to work with this? Any morsels of wisdom are appreciated!
