    While choosing your SEO Expert, What are your demands and how you trust them for the first time?

    I make my business website live by an Indian SEO Manager "FreelIndia" they charge very less, but now i am afraid if there is any problem or i someone else can do it for me better and cheaper.

    Is it illegal to own two businesses that may benefit from each other or have a conflict of interest. (Florida) Details inside.

    Lets say I own a physical security auditing company that checks for flaws, pros/cons and liability in regards to the property's security.

    Would it be illegal for me to also own a company that provides security guard services or a company that installs security cameras/security equipment? Being that my auditing services may recommend needing guards or equipment, I can see it being a conflict of interest knowing that I also own companies that provide the solutions.

    Business finally picking up, first time starting a business, fairly young. Any lessons you'd recommend at this point in my growth?

    Our business is finally picking up, and poised for much more. Hiring people, not insolvent. I've been in sales for about 1.5 years coming form Healthcare, with no degree/experience. I am second in command with a pretty great boss.

    We're hoping to scale our services based business and I'll be managing everyone and helping advise on growth. I read a lot of books and watch a lot of Valuetainment/other business youtube.

    Anything that you could have done at this stage to help grow faster? Any leadership books/courses you can recommend for a rookie?

    Short term business financing

    I run a seasonal business where we close down completely from November - March.

    Obviously we still have expenses during this period (roughly 25k) with little to no revenue (under 3k)

    I have owned the business for 5 years, and has been open for 25 years and has been profitable ever since opening. For the last few years I just lend the business about 10k of my own money on top of the 15k I keep in the bank from the end of the season to cover these expenses.

    I am now invested in another business and just purchased a house so I am looking to not loan the business the money from my own funds this year.

    The thing is, I intend on paying back the loan by June, so only need about 3-4 months for financing.

    Most term loans I have applied for have a 5% origination fee, which just makes the loan so much more expensive since its only $70-$80 a month in interest.

    And that is if I do get approved, but every bank is looking for 3 months of bank statements and the last 3 months we had next to no revenue.

    The business is very healthy by bringing in over 250k, and profiting nearly $100k per year, but if you look at the bank statements, we went from 30k in November to about 5k end of January.

    Are there any good short term lenders or funding options that will look at the entire picture of the business? With origination fees for a 4 month loan it would be about $750-$1k in interest and fees

    Canva Graphic Design - Licensing Help... is it actually free?

    I'm creating some advertisements for a small business (little to no budget for this kinda thing) and I found a program online which makes it very easy to create with limited knowledge. That said, I'm finding their licensing/agreements section hard to understand.

    I'm mostly interested in using the Free Elements, and not the paid elements. For the free elements, it says they're available under the same licence as the paid elements. It's a little clearer for the Paid Elements - pay and you can use.

    For the free items, it doesn't prompt you to pay anything. I just want to be sure I'm not downloading and using something for promotions that I shouldn't!

    We sell online and also run a store the Melbourne, Australia. We keep a pretty tight brand list of European and Japanese designers who make mostly stylish sports fashion and casual clothing including grooming products and accessories for guys looking for functional but good looking clothing (that lasts).

    Creative Compensation Structure when acquiring small private company

    Hi all,

    was wondering if I could pick some of the community's brainpower. I am in the process of acquiring a small business with around EBITDA +/- 1 mn. I delivered a first indication of interest (with ballpark valuation based on the estimates for 2017) somewhere in December and further talks were on hold until the official 2017 results became available.

    The actual results were +/- 20% below the forecasted results, this was mostly due to a lack of sufficient personnel, (it's a project based business), and when I channel check the existing backlog I can see that a higher % of work has been transferred to 2018 (so the projects are still there, they'll just happen later).

    Of course, for me as buyer, the 20% lower EBITDA causes a significant penalisation in the company valuation (I am using a typical LBO financial structure for this transaction) and my talks with banks for acquisition financing etc will become slightly more difficult given the lower growth (it's a good thing I did not share any forecasted results with the banks).

    For the seller however, it's much more difficult to comprehend that his business has become +/- 750k less worth over the span of a couple of months, especially as he sees the backlog which looks as healthy as ever. I very much understand his point of view and am now looking and thinking about creative ways of how I can structure a payoff for the 750k in "value disappearance" that will create some kind of win/win scenario for both parties.

    My current offer already consists of him reinvesting around 15% in equity (with a predetermined takeout in 3-5 years), + he will extend a vendor loan as additional financing and receive an earnout after x years given certain targets.

    Examples:

    • Structure an additional earnout on gross profit/EBITDA/realisation of certain projects but cash flow wise this is not very desirable
    • When taking out his equity, increase multiple paid determined by certain metrics (gross profit, EBITDA, ... ).
    • Use performance units linked to certain metrics which vest year after metrics are obtained?
    • ...

    Any thoughts would be greatly appreciated!!

    Starting a little coffee delivery hustle?

    I'm in college and I absolutely hate my part time job. I've started a few small businesses in the past and made some money but nothing I ever stuck with. I just want to be able to make a comfortable few thousand each month to take care of myself and have a foundation of entrepreneurship that I can build on.

    I was thinking about investing in a nice coffee machine or two and getting all the necessary supplies. Then I would wake up early and go around to office buildings / strip centers and offer some free coffee and get at least 5 employees to sign up. I could do this until I get at least 50 people wanting coffee every morning at around 5 or 10 businesses in my college town. At $2 a cup I could be making $500 revenue every week with only a couple hours of work.

    Does anyone think this a good idea? Any other little businesses like this I could do so I can quit my part time job?

    How do I verify what business license I need?

    I've sorted through my states license and permits list and the only thing that was similar to what I'm trying to do is medical billing, but even that isn't close enough, should I get a registration for it anyway? What happens if I don't have the correct license? If there isn't a license and permit for the thing I want to do is it fine to continue on what I want to do legally?

    When getting a business loan to purchase an established business, can you use that businesses assets as collateral?

    I actually have a few questions about getting the business loan. A little background: me and a partner are going to be getting a business loan for $100k to purchase a pre-existing electronic repair company that currently brings in about $300k a year (~$70k profit). He owns another business, makes a good living, and has solid credit. I have poor credit and have gotten paid under the table for years, but I'm the one who knows how to actually do all the electronic repairs. So he will be filing for the loan on his own (because I would only hurt our chances of getting it), and is (rightfully) worried about being personally liable if something goes wrong.

    So my first question is in the title. Is there any way to get the loan, purchase the business, and have the business assets be the collateral? It will be an LLC, but it seems like most banks will ask for him to sign a "personal guarantee ".

    Second, aside from the loan, will having both of our names on all the business contracts make me just as liable as he is? Or is there something we can do after the loan to have equal liability?

    Finally, is there a better place to look for a loan that might not be as affected by my bad credit? So we can both be on the loan paperwork and share liability?

    50/50 partnership question

    What happens if my partner dies? The partnership is a small company and everything's split down the middle. He has epilepsy and recently shared grave concerns over SUDEP (sudden unexpected death in epilepsy) and his health. Right now he's not doing well, suffering migraines among other issues.

    I am wondering what happens if he kicks off, god forbid. Does his 50 percent become my 50 percent? Does his 50 percent go to his spouse?

    Payment Gateway for websites

    Hey all,

    I'm just starting out my website, however I'm having a little trouble with finding a payment gateway for my website. So far I have applied with Stripe and Braintree however I haven't passed the application because apparent my company is 'high risk'. Which basically means, potential for a lot of refunds/chargebacks.

    The company is property rental. Similar to Airbnb, but recstricted to one city. We plan to be the number one provider for property rental in the city.

    Does anybody know any payment gateways that are slightly more leanient compared to the likes of Stripe, Braintree etc..?
