US consulting for canadian stock options?

    Posted: 08 Dec 2017 12:33 PM PST

I'm in the middle of some discussions with a company in Canada to do some longer-term work. It's a bit of a startup nature and they would like to discuss having some of the compensation be in stock options. The company is established enough in Canada, has had various rounds of VC money and say they have advisors in the US on their board receiving options, so it initially feels straightforward enough.

While I like the thought of stock options for this scenario ( i.e. if I really feel like I'm able to help the business increase it's value, why not ) .. I'm wondering if there are any odd implications working over the border.

    • Do contracts for said options hold up? How would that get fought, with the border in the way, if there are issues at any point in receiving or exercising said options?
    • Are there tax implications of holding said international options, even if unexercised?
    • Maybe I should have a canadian bank account and receive all my compensation from them into said canadian account, and then likely only pay taxes when I transfer it over? That could be beneficial to maybe only pull money over in down years.. etc.
    • Other things I should consider? Spitballing? :)

    Thanks in advance!
