Value Investing Carvana's VIE Structure |
Posted: 02 Feb 2022 04:13 PM PST I have read Carvana's ownership structure about five times, and I cannot quite understand it or the purpose behind such a complicated ownership structure - https://www.sec.gov/Archives/edgar/data/1690820/000169082020000208/R9.htm How do you understand the structure and how do you account for this in your analysis of the NYSE: CVNA security? It seems to me that purchasing a share of NYSE: CVNA gives you a stake in a holding company, and money raised from selling shares in the holding company are then invested in the core business, but the profits from the core business aren't all channeled back to the holding company and hence, the shareholders.
