What is the biggest difference between doing a startup in USA compared to the EU (specifically Sweden)?

    Posted: 27 Jan 2020 12:41 PM PST

Most of the material that I read on startups as well as the podcasts that I listen to tend to address the American startup milieu. How does this differ significantly from startups taking place in the EU, and specifically Sweden where I am operating from.

HELP NEEDED: Issue with a predatory loan vendor

    Posted: 27 Jan 2020 06:02 PM PST

This small business loan company from NJ kept on calling and harassing us through SMS almost everyday and pushing their small business loan.

I finally got curious and called them to see if they have a loan for our startup. They did get us a line of credit for $200K through a 3rd party vendor but failed to mention that they would charge $3200 on top of the "draw fees" that the 3rd party vendor charges, which also happens to be $3200. Under some false pretense they got us to sign an ACH form filled and withdrew $3200 from our bank account. I got annoyed by their tactic and left a bad trust pilot review. Their CEO kept on calling us to withdraw the trust pilot review which I ignored.

Now as a revenge for our trust pilot review, they have applied an unrelated loan on behalf of us through another 3rd party vendor and today I see a credit of $125K in our bank account which we never signed to get it. There is only a mysterious credit and an email from the 3rd party vendor saying "welcome to our account". I don't even know the terms on this loan: interest rate, pay back period etc. This feels like a financial fraud where somebody pretended to be us and got us a loan.

I know this is a bit of legal matter and we are reaching out to our counsel.

Any other recommendations on what to do here?

What is the biggest difference between doing a startup in the USA compared to Canada?

    Posted: 27 Jan 2020 02:18 PM PST

There is always the notion of "The Valley". I believe there have been changes with unicorns all over America & various parts of the world. As far as I have searched, there has been a document that would enlist the differences, from talent, funding, etc.

So to be very specific, the difference between doing in the USA to Canada?

People who left a startup to join for a “large corporation,” why did you move and what do you actually do?

    Posted: 27 Jan 2020 03:10 AM PST

I hear many stories that people moving into a startup from a large corporation. I was just wondering if anyone actually exited from a startup and moved into a large corporation because I don't hear this side of story often, simply because it doesn't sound glamorous as the other way, and also people seem to be more satisfied than working in the field which they really like. (one of the core reason on why many people are interested in a startup field) Much appreciated if you can share your story on, why you moved into a large corporate world, what you are doing right now, and if experience in a startup helped you in your career progression.

    Employee share ownership (ESOP) schemes

    Posted: 27 Jan 2020 11:41 PM PST

    Hi guys,

Can you please give me advice about ESOP schemes, preferably those who have hands on experience.

    [edit: Europe, not US]

I have fintech startup idea powered by data science tools like ML and NLPs and we're preparing for our pitch at an incubator program at the moment, this is where it came up.

I work for a fintech myself, and i was granted stock options and it's been vesting since day 1. So on the receiving end I have met with ESOP, but i still dont understand:

    1) why is it beneficial for the founders/company 2) how dont the ceos/founders loose control over the biz due to many shareholders 3) how to issue stock options 4) in which industries is it recommended or is it applicable to all startups? 5) how would it affect our efforts to attract investors in the future? 6) can you issue stock options with company evaulation? Let's say at the very beginning. Also very beginning = incorporation or during pre-incorporation preparations (maybe this question is dumb but i have zero idea)

It came up in Ben Horowitz's Hard Things book as well, but i'm still clueless. So your help would me much appreciated.

How do you learn from churned customers?

    Posted: 27 Jan 2020 04:14 PM PST

One of the fastest ways to learn what to build next is why your current customers churned/left. I'm playing with the idea of just including an exit survey, but it doesn't feel specific enough.

Has anyone used any other tools in order to learn best from customer who've churned?

My co-founder and I accidentally issued ourselves vested stock instead of unvested. Will we actually be at a disadvantage if we do not switch this? If so, what is the process of switching?

    Posted: 27 Jan 2020 11:23 AM PST

To give some context, we recently filed our startup as a C-Corp and gave ourselves 30% equity in the form of vested shares. We thought that vested meant unvested and vice versa. Quite a silly mistake. We are making a mobile application service and have been raising money through SAFE notes. We want to continue raising on SAFE notes until we have a massive amount of active users, by which point the vested/unvested conversation will be less relevant. Based on the research ive done, people say that founders issuing themselves vested shares is virtually unheard of, but due to the type of startup we are, the same circumstances may not apply. Thoughts?

Planning to offer unlimited access to pros - but struggling on how to price it?

    Posted: 27 Jan 2020 03:26 PM PST

Hi! We will soon launch a service where our customers can ask unlimited questions via chat with professionals on our platform in a niche industry, but we are struggling to price our service. We know certain users will use the service daily, multiple times per day, and some users won't use the platform as much. We've thought about billing for use, but the chat will happen via text chat (not text-messaging, but messaging through the platform) and we don't have the technical infrastructure right not to bill per message sent. Would anyone have advice on our issue?

    Continue MVP or develop?

    Posted: 27 Jan 2020 12:23 PM PST

Hey guys, so I've had an MVP running for a while now. There are some sign ups along with a decent amount of Instagram followers. Ive had consultants and other business peers who fancy the idea. Now the question is, should I continue running the MVP to get more sign ups or just develop the platform directly at this point?

If a business (service) doesn’t exist yet, do you think it’s because it’s probably a bad idea?

    Posted: 27 Jan 2020 05:46 PM PST

I have an idea for a pretty cool business but it really doesn't exist yet as far as I can find. Certain, similar parts do, but on a whole it does not.

Do you think in cases like this it's more likely because the idea is no good? Or it just genuinely hasn't been done yet.

Does sale of Ebook count as use of a trademark "in commerce"?

    Posted: 27 Jan 2020 05:19 PM PST

Our company has a service mark /trademark registration pending, and we need to submit evidence of the trademark's use in commerce, before it may be registered.

Our trademark is for a service we offer clients. However, we also sell ebooks to our community, and I'm wondering if sale of an ebook would constitute use in of our trademark in commerce. It's not a perfect example of our service, but it is a product we offer customers in the US.

Would this count as use of the trademark in commerce? Or do we need to actually provide a service to show use in commerce for a service mark.

    Any input is much appreciated.

How to prevent clients from bypassing site and directly reaching employees

    Posted: 27 Jan 2020 09:19 AM PST

I've had this idea of building a site offering services from people, but where I earn a cut from every transaction. (much like fiverr, but more specific).

However, the only issue with this is that the clients could contact my employees directly after getting their contact details. I don't think I can entirely rely on the integrity of employees either to disclose if they began transacting among themselves.

Seeking advice: I have a great product idea; want to start it up on my own but no clue how to pursue product development

    Posted: 27 Jan 2020 01:08 PM PST

I have a great idea for a fintech startup. I've raised the idea at my company but I have zero confidence in the organization's ability to help me get it done (purely due to politics; I have broad support from our business leaders). I've spoken to a lot of market participants who have overwhelmingly confirmed the need for my proposed product.

I'm contemplating going out on my own with the idea (I have no IP commitments in my contract).

I'm confident I can source the financial products I need from white label solutions like Greendot but I'm at a loss for how I can create the interfaces required for my users - I.e., how do I build the product for my users as I have no experience coding?

I have a clear vision for the product, including a strategy, flows, etc.- at work I have even built InVision flows for all personas but of course can't use that. Do I just need to source contractors independently and tell them exactly what I need? If I'm building on top of greendot or stripe what type of developers should I be looking for? Or should I be looking for a CTO partner or even investors (despite not having a physical product built)?

For background, my experience/expertise is in finance, strategy and complex financial modeling.

Having trouble putting my future product together.

    Posted: 27 Jan 2020 12:18 PM PST

Hi guys! So I have a brilliant idea that could help the environment and help the hygiene of people. My product that I have in mind is similar to wet wipes. I have the product drawn out but this is will be my first time actually creating a product to create and sell. I'm wondering if anybody is familiar with creating hygiene products or even help on where to start on my journey! A little more on what I'm creating it will need a certain fabric and chemicals that I want to be environmentally friendly and natural enough for people to use with no harmful chemicals.

    HIPPA complaince

    Posted: 27 Jan 2020 10:21 AM PST

Hey /r/startups I'm working on customer discovery and idea validation. I was curious if anyone here had experience with HIPPA complaince.

In a nutshell the service I'm looking to start with would have to do with imaging patients might receive in the course of their treatment. I looked at the HIPPA site and it's a bit confusing and their "toolkit" is outdated.

    Distributing 3rd party free content

    Posted: 27 Jan 2020 08:45 AM PST

Will it be okay to distribute free content that got no explicit copyright or license? E.g. free ebooks from other businesses. I don't want to edit the content and I also want to credit the author/business but it should be downloadable on my site. Plan B is to just link to it..
