A potential client is making me very uncomfortable. How do I tell him I am no longer interested in his business?

    Posted: 10 Jun 2020 05:48 AM PDT

Without getting into too much detail, a potential client is starting to make me very uncomfortable. Things like e-mailing me about random personal side questions, movies he's watching, questions about the mafia (we're an Italy-related business), asking if hydroxychloroquine is sold near us, calling me repeatedly even when I say I am not available because I am eating dinner etc. It's all getting to be too much and I prefer to keep it professional. If he were to contract with us, I would need to be with him alone to work on his case (I am a woman) and I'm just weirded out. I have no desire to work with him whatsoever.

How do I word this professionally? I have already told him in a previous e-mail I was uncomfortable. Yesterday I said I was available for a call after dinner but he kept calling (4 times in the span of 30 minutes) while I said I was eating and it just got to be too much.

    What do I do?

Some people may find this useful. Min loan amount was 500k but there have been talks of lowering this. Looks like they made the change now to 250k minimum. 300m maximum.

Any downsides to LLC electing S Corp for taxes?

    Posted: 10 Jun 2020 07:19 PM PDT

Hi, I have an Delaware LLC doing business in California. It's owned by me and my co-owner without employees. Since our income is now higher than the reasonable salaries we would pay ourselves, we are thinking about electing as a S-Corp for taxes to save on self-employment tax. Are there any potential downsides to this, either tax-wise or business-wise?

I understand there will be the additional payroll paperwork and there may be more tax return forms to file. But I just want to check if there are other issues that I'm not aware of, like would we lose the limited liability protection or make our business more vulnerable to lawsuits somehow, would there be other types of paperwork/compliance to deal with, would there be more IRS scrutiny to deal with, etc. Any thoughts are welcome.

    Thank you very much!

(CA) Tax strategies for 1st-year Single-Employee S-Corp with reduced income due to Covid

    Posted: 10 Jun 2020 04:44 PM PDT

After more than 10 years as a sole proprietor, I incorporated this year as an S-Corp in California. Up until then I had been making consistently above the threshold for what seemed like the cost/savings break-even point for incorporating (between $60,000 to $100,000 net), so I figured better late than never.

This year started out well, but due to the current economic climate my business (as many others) has slowed down significantly, and my prospects for the rest of the year aren't great.

If I never got any more business for the rest of the year (I'd say 50-50 chance at this point), my net profit for the business is barely on the line of being worth incorporating (aka the costs of S-Corp accounting/payroll/minimum business tax in California is about the same as the tax savings I get by incorporating).

Given how much extra work (and money) running as an S-Corp has been, to just "break even" (if that even happens, who knows what unforeseen business expenses could come up for the rest of the year) is really frustrating.

Any tips on how to make the most of this situation? How much leeway do I have to lower my salary/distribution breakdown (which would be my best bet for savings) when my net income is already looking grim?

(I'm already running pretty lean expense-wise, pretty much everything that's left are fixed costs that I need to keep the business open altogether)

    What’s with this E I D L sub?

    Posted: 11 Jun 2020 01:43 AM PDT

Is this a major phishing scam going on? R/EIDL is literally a mass exodus praising "cue" an anonymous civilian "helping" people get their sba loans qualified. Everybody responds with the same cookie cutter "thank you Cue I got my loan funded! Yay!!!" Post. It literally smells like a scam... is it?

    Lease extension do’s and don’t?

    Posted: 10 Jun 2020 07:45 PM PDT

My lease will soon be up in 15 months. I've been at my place for almost 3 years. This is my first real lease extension. What to look for and when is the right time to bring up lease extensions? I've been doing fairly well before the whole virus thing but since it has been up and down. Lease payment is decent $16 per sq feet. Thanks

Buying a car to use for my business, do I need commercial auto insurance or personal auto insurance?

    Posted: 10 Jun 2020 01:40 PM PDT

Looking to purchase a vehicle for my business and use section 179 + bonus depreciation to get the tax benefits. However, I'm finding that commercial auto insurance is 3-4x the price of personal auto insurance in NY. This offsets a lot of the gains from writing off the car.

Is there anyway I can purchase the car under the business but maintain personal auto insurance (e.g. put the title of vehicle under the company but register the car in my name?).

I feel like I must be missing something here or section 179 + bonus depreciation isn't as advantageous as I once believed. Please help!

S Corp - deducting the cost of software development

    Posted: 10 Jun 2020 11:55 PM PDT

My co-founder and I are working in the development of an application that we are going to release as SAS (software as service).

We are planning on deducting the cost of software development as a business expense(so we can pass the loss to us until we become profitable enough to pay us reasonable salaries), but we are not going to be hiring anybody, instead we are going to develop everything ourselves. Since we are the sole members of the S Corp and doing all the work without paying ourselves, is it possible to deduct the cost of development, or will the IRS consider all of our time as sweat equity.

According to the IRS guidelines it is possible.https://www.irs.gov/publications/p535#en_US_2019_publink1000208980

Any thoughts are welcome. Thanks a lot.

As the store owner, how would you handle this situation?

    Posted: 10 Jun 2020 05:54 PM PDT

    Please watch the following clip:

    https://www.youtube.com/watch?v=SUhS6P69yp4

The statement posted on the Met Foodmarket's Instagram page said in part that the incident involved a repeated shoplifter, and that when they tried to stop him, he became "aggressive and assaulted our staff."

    https://drive.google.com/file/d/17W2NXbePDdavf_Dz_LMYYWs6tyEOxjhj/view

My friend and I are having an discussion regarding whether this could be handled better or not..

I personally think there is no better way to handle it as the thief has been seen shoplifting multiple times before he was caught.

vs my friend who thinks that, shoplifting is bad but she would never handle it with violence no matter how much financial damage it does to the store.

Is it right or wrong to ask for a bonus promised year ago now during this time when people got laid off?

    Posted: 10 Jun 2020 07:03 PM PDT

A year ago my employer promised me a bonus. I've asked for it several times since then and I always get an answer along the lines of "we'll talk" or "talk to x." Something acknowledging it but dismissive. I decided to quit recently partially because of the resentment that built up and other unrelated reasons. I put my foot down and demanded the bonus. (I'm leaving regardless but I was just tired of getting pushed around.)

My employer went off on me about how I'm acting entitled and selfish and ungracious because people have been laid off at his company due to the virus and they deserve bonuses and saying stuff about how I don't deserve it and I did a bad job at certain projects. Now he said he's going to ask the staff if they think I deserve the bonus and base it on that.

I'm asking an ethical question. He said he had to put his personal money in the business. Yes, business slowed down for a couple months but it's picked back up. He's told me he's a die hard capitalist and the second he doesn't see the potential for return he stops the flow of money. This makes me think he's being a hypocrite regarding me being selfish.

I get it's probably a hard time for him and people were laid off to keep mine and other jobs but I just feel awful for being dismissed for so long. (Clearly I should have been more firm back then). I obviously have no idea the financial state of the company. I don't know if they get government support. He is a very independently wealthy person. We also have a long relationship. Obviously I feel bad for the people who lost their jobs and am grateful to have still had the paycheck but at the same time they are probably making more on unemployment and they are smart/nice people and will find other jobs while I'm working hard being around people.

It's a small business of about 30 employees.

I just want to do the right thing. I would love some advice. Thanks!

How much do you pay a sales consultant?

    Posted: 10 Jun 2020 09:08 PM PDT

I have an contact who recently retired from his full-time job and has started his own consulting business. He's very well regarded in my industry and has a lot of good contacts, I'm confident he could introduce my company to many new clients and help us win new projects. He's approached me to see if I am interested in his services, and I am, but I am unsure what would be an appropriate fee to pay him. We will begin negotiating soon, but I don't even know where to start. He could introduce us to a new client, which would hopefully be long term relationship and result in many contracts. It is very likely one good client introduction could get us two projects a year at about $50,000 each. Can anyone recommend an appropriate fee here? Any experience or advise?

    Thanks in advance!

Signing a Commercial Retail Store Lease on Friday (COVID Considerations) (NorthEast US)

    Posted: 10 Jun 2020 08:53 PM PDT

After nearly a year from conception, funding, location scouting, and COVID lockdowns, a business partner and I are opening a CBD Retail Store in the next 4-6 weeks. I anticipate keys and construction to start next week. Although CBD stores are considered an essential service where I live, there were definite trepidations regarding opening now with the possibility of a second wave (which I believe is going to occur). Now that there is an easing on business restrictions, and construction is possible RIGHT NOW, we've decided to say F'it, and light this candle. Once the doors are open we'll essentially (har har) be grandfathered in once Fall COVID numbers start coming in ensuring the business will remain open no matter how bad things can, within reason, get.

Would I open a Retail Store for something other than CBD, or at least another essential business, right now? Probably not. Thought, through recent dealings with attorneys the last few months, it seems that COVID clauses are now a thing and likely here to stay. If you have solid protection where you pay rent if the store is forcibly closed then I would seriously consider COVID a non-threat to new business. It would simply be a legal pause button in case of the worst.

I'm curious if anyone else is going through a process like this and would love to learn from your experiences, as well as share.

Side note, if you are considering opening a retail business, CBD, or not, I'd be more than happy to discuss, if preferred, in private if you have questions.

Stay safe and all the best to every last one of you!! :D

Advice for shipping boxes and labels?

    Posted: 10 Jun 2020 08:26 PM PDT

I'm starting a small business selling handmade soaps and crafts, but I don't want to spend too much just yet on materials. I just want to get established first and then I can focus on cute packaging and shipping. But for right now, does anyone have any advice where I can get a good deal on shipping boxes? The weight of the packages will most likely not exceed one pound. Thank you!!

When emailing in B2B to try and sell your services is it better refer to yourself as a owner, representative, agent, or something else? (I am a co-owner)

    Posted: 10 Jun 2020 10:27 AM PDT

I read somewhere that the owners would refer to themselves as "salesmen or representatives" to make their company appear larger so that's why I'm asking. We are a small 4 man operation that has a pretty good opportunity to work with a large school board.

What type of registration for an e-commerce business backed by dropshipping fulfillment model?

    Posted: 10 Jun 2020 07:25 PM PDT

I live in Canada, almost all literature about this is based in the US. There are no LLCs in Canada - just sole prop and incorporation.

Judging by the personal liability issue, I am leaning towards incorporation. Are there any major drawbacks to incorporation?

    First Business Credit Card

    Posted: 10 Jun 2020 09:33 AM PDT

I opened my small/micro business about a year ago and I want to start building my business credit. Would a business credit card be a good place to start? We don't really need access to a credit line so anything we pay with it we can pay off that same month. It could also maybe be a safety net for when we have to order big rounds of inventory. I was thinking Amazon business card because we order stuff of of there fairly frequently. We are a tech repair company so when our supplier is out of a specific part we need we just order off of amazon. Would this be a good card to start with or is there another one you suggest?
